Company accounts generally need to be delivered to Companies House by the applicable statutory deadline, which is determined by the company's accounting reference period and its circumstances. Once that deadline has passed and the required accounts have not been delivered, the accounts are overdue. An overdue filing does not mean the company has been removed from the Companies House register — it simply means the deadline has passed and the accounts remain outstanding. Reviewing the position early usually makes the process more straightforward.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have annual accounts filing obligations with Companies House, and if the required accounts were not delivered by the applicable deadline, they become overdue in the same way as accounts for a trading company. Dormant status does not by itself remove the requirement to file, and the exact obligations depend on the company's circumstances and filing history. We can review your Companies House records where this is unclear.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the penalty generally increases the longer the accounts remain outstanding.
