Every UK limited company is generally required to prepare annual accounts and deliver them to Companies House by the applicable statutory deadline. That deadline is not the same for every company — it depends on factors such as the company’s accounting reference period, whether it is a first set of accounts, and the company’s own circumstances. When that deadline passes and the required accounts have not been delivered, the accounts are treated as overdue, and the filing obligation itself does not disappear. Outstanding accounts still need to be prepared and delivered, whether or not the company has been trading and whether or not it has any income in the period. It is usually better to deal with overdue accounts sooner rather than later. Companies House can impose late-filing penalties when accounts arrive after the deadline, and the longer accounts remain outstanding, the more serious the consequences may become, including an increased risk of action over persistent non-compliance with filing obligations. Late accounts can also affect the company’s Companies House records, which lenders, customers and other parties may look at. The deadline varies from company to company and depends on matters such as the accounting reference period and whether it is a first filing, so it is worth checking the specific due date shown on your company's Companies House record rather than assuming a standard period. Being overdue does not change the underlying obligation: the accounts still need to be prepared and filed.

Yes, in most cases the obligation to prepare and deliver statutory accounts remains, even though the deadline has passed. Submitting them late does not undo the lateness, but leaving them unfiled generally does not resolve the position either, and Companies House may take action against companies that fail to meet their filing obligations. The form the accounts take will depend on the company's circumstances — a company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts.

A dormant company can still have Companies House filing obligations, and dormancy and overdue filing are separate issues. A company is not automatically exempt from filing annual accounts simply because it has not traded or has had no income. If a dormant company missed its accounts deadline, the accounts can still become overdue, and the required filings still need to be dealt with. Whether a company qualifies as dormant for filing purposes is a question in its own right, and we can look at that alongside the outstanding accounts.

Where accounts are delivered to Companies House after the applicable deadline, a late-filing penalty may apply. The penalty is not optional and the amount can increase where a company has filed late in consecutive years or where the accounts are significantly overdue, although the exact position always depends on the circumstances and the Companies House rules in force at the time. Filing the accounts is still the right step, and we can assist with preparing them accurately so that the submission itself is not delayed further.

No. Paying a penalty and filing the outstanding accounts are two separate matters. Settling a penalty does not remove the requirement to prepare and deliver the accounts to Companies House, and delivering the accounts does not automatically cancel or reduce any penalty that has already been incurred. If you believe a penalty was issued incorrectly, an appeal may be possible depending on the circumstances and the applicable Companies House rules, but eligibility must be assessed case by case.

Where several accounting periods are outstanding, it is likely that more than one set of accounts needs to be prepared and delivered, and each period generally has to be addressed separately. Filing one set of accounts does not automatically resolve the other outstanding periods.
