He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What It Means When Company Accounts Become Overdue

Company accounts normally have to be delivered to Companies House by the applicable statutory deadline, which is based on the company’s accounting reference period and its individual circumstances rather than a single date applied to every company. When that deadline passes and the required accounts have not been delivered, the accounts are treated as overdue. Overdue accounts do not disappear because the company is quiet, dormant, not currently trading or has received no income — the filing obligation can still apply, and it is worth dealing with outstanding accounts promptly rather than allowing them to build up. The consequences of late filing depend on the circumstances and on how long the accounts remain outstanding, and Companies House may take action against companies that repeatedly fail to meet their filing obligations. Bringing the position up to date usually means preparing the relevant statutory accounts for each outstanding period and delivering them to Companies House where required, while also checking whether separate matters such as a confirmation statement, Corporation Tax Returns or other HMRC obligations still need attention. Because requirements differ from company to company, we look at your accounting periods, company records and filing history before advising on the appropriate next steps.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300
1 to 3 months late
£375
£750
3 to 6 months late
£750
£1,500
More than 6 months late
£1,500
£3,000

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Overdue Company Accounts FAQs

Still unsure where you stand? Reach out to our UK team at info@microentityaccounts.co.uk and we will review your filing history with you.

Overdue company accounts are statutory accounts that should already have been delivered to Companies House but have not been filed by the applicable deadline. The deadline itself depends on the company's accounting reference period and its own circumstances, so it is worth checking your company's filing history on the Companies House record rather than assuming a particular date applies.

There are many reasons a filing slips. Directors sometimes step back from a business, records may be incomplete, an accounting period may have been overlooked, or a change in the company's circumstances may not have been followed through. Whatever the reason, the accounts remain outstanding until they are prepared and delivered to Companies House, and the position is usually easier to resolve the sooner it is reviewed.

Yes, in most cases the requirement to prepare and deliver the accounts continues even though the deadline has passed. Filing late does not normally remove the obligation itself, and the accounts generally still need to be delivered where they are required. We can review which accounting periods remain outstanding and assist with preparing and filing them.

Yes. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts filing obligations with Companies House, and if those accounts were not delivered by the applicable deadline, they can become overdue in the same way as any other company's accounts. Dormant status does not automatically mean the accounts can be ignored.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that may apply depends on the circumstances and on how late the accounts are, and not every company will face the same outcome. Paying any penalty does not remove the requirement to file the outstanding accounts — these are separate matters that both need to be dealt with.

Where several accounting periods are outstanding, each period may need to be addressed separately, which can mean preparing and filing more than one set of accounts. Filing one set does not automatically resolve the others. We can map out what is outstanding, confirm the information needed for each period, and work through them in a sensible order.

The information required depends on the company's circumstances and the accounting period being prepared. It commonly includes bookkeeping records, bank statements, invoices, expense records, details of any assets or liabilities, previous accounts and current company information. Not every company will need exactly the same documents, so we confirm what is relevant once we understand your position.

We can review your outstanding filing position, prepare the statutory accounts that remain due for each relevant period and assist with delivering them to Companies House. Where the company qualifies, that may involve micro-entity accounts prepared under FRS 105, but the appropriate reporting framework depends on eligibility, the accounting period and the company's circumstances. We can also point out any separate confirmation statement, Corporation Tax or HMRC matters that may need attention, so you have a clearer picture of what is still outstanding.
