I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Sorting Out

Company accounts become overdue when the applicable statutory filing deadline passes and the required accounts have not been delivered to Companies House. That deadline is not the same for every company — it depends on factors such as the company’s accounting reference period, whether it is newly incorporated, and its particular circumstances, so it is always worth confirming the position for your own filing rather than assuming. Once accounts are late, the obligation to prepare and file them does not disappear. Outstanding accounts still need to be finalised and submitted where required, and the longer they remain unaddressed, the more complicated the position can become. Companies House can apply late-filing penalties when accounts are delivered after the deadline, and persistent non-compliance may increase the risk of further action against the company. Directors in Oldham who are unsure what has been filed, or who have inherited a company with missing records, can ask us to review the position and set out the practical steps needed to bring the filing history back up to date.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

How late the accounts are Private company Public company
Up to 1 month late
£150
£300
1 to 3 months late
£375
£750
3 to 6 months late
£750
£1,500
More than 6 months late
£1,500
£3,000

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the applicable filing deadline for a set of statutory accounts has passed and those accounts have not yet been delivered to Companies House. An overdue filing does not, by itself, change your company's status on the register — it means a required filing is still outstanding. The deadline depends on the company's accounting reference period and other circumstances, so it is worth confirming exactly which periods are outstanding rather than assuming.

Yes, in most cases the obligation to prepare and deliver the accounts remains, even though the deadline has passed. Filing late does not remove the requirement. Where a company has several outstanding accounting periods, each period may need to be prepared and filed separately, as filing one set of accounts does not resolve the others.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and if the required accounts for a period were not delivered by the applicable deadline, that period can be overdue. Dormant status does not automatically mean accounts are exempt from filing, although the form of accounts a dormant company needs to submit may differ from a trading company's.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty that may apply depends on how late the accounts are and the company's circumstances, and it is not the same in every case. Paying a penalty does not remove the requirement to file the outstanding accounts — these are separate matters, and the accounts still need to be prepared and delivered.

Not automatically. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If your company has already received a strike-off notice, or has been dissolved, the position usually needs separate restoration or legal advice rather than being treated as an ordinary overdue accounts filing. We can review your circumstances and explain the options available.

It varies depending on the accounting period and the company's circumstances, but typically we would look at bookkeeping records, bank statements, invoices, expense records, any previous accounts and the company's registration details. If records are incomplete or missing, we can discuss what can be reconstructed and what further information may be required before the accounts can be finalised for your review and authorisation.

Where a company meets the eligibility conditions and the relevant period qualifies, micro-entity accounts prepared under FRS 105 may be an appropriate reporting framework for an overdue filing. Not every company qualifies, and eligibility depends on the company's legal structure, accounting period and circumstances, so the framework should be confirmed before preparation begins.

Yes. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. A confirmation statement is also separate from annual accounts and is filed with Companies House. Submitting overdue accounts does not automatically satisfy outstanding Corporation Tax or confirmation statement obligations, so these may need to be dealt with alongside the accounts.
