Company accounts are overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. The applicable deadline depends on the company's accounting reference period and its circumstances, which is why the first step is usually to confirm exactly which periods remain outstanding rather than assuming a single date applies to every company.

Yes — in most cases the obligation to prepare and deliver statutory accounts to Companies House remains even after the deadline has passed. Filing late does not remove the requirement; it simply means the accounts are submitted after the due date, and any late-filing penalty is a separate matter from the filing itself. The accounts still need to be prepared, reviewed by the director and authorised before submission.

A dormant company can absolutely have overdue accounts. Dormancy and overdue filing are separate issues: a company may be dormant and eligible to prepare simpler accounts, but it can still be overdue if the required accounts were not delivered by the applicable deadline. Dormant status does not automatically remove annual accounts filing obligations, and any outstanding periods should be reviewed on their own facts.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the penalty that may apply depends on the circumstances rather than being fixed for every company. Paying any penalty that is due does not remove the requirement to file the outstanding accounts — the two matters are separate, so the accounts must still be prepared and delivered to Companies House where required.

Where several accounting periods are outstanding, each period may need its own set of accounts prepared and filed, so filing one set does not automatically resolve the others. The work involved depends on the periods affected and the records available. It may be possible to file outstanding accounts after a warning, but the position needs to be reviewed carefully because filing does not automatically stop or reverse strike-off action being taken by Companies House. If your company has already received a strike-off notice, or has been dissolved, the matter may require separate restoration steps or legal advice rather than being treated as a routine overdue filing, so it is worth seeking guidance promptly.

They are separate compliance matters. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement goes to Companies House and is not a substitute for annual accounts. Filing overdue accounts does not automatically satisfy HMRC Corporation Tax obligations, so any outstanding returns or confirmation statements may need to be addressed alongside them.

Some companies may qualify to prepare accounts under the micro-entity framework, which uses the FRS 105 reporting standard, but not every company qualifies — eligibility depends on the company's legal structure, accounting period and reporting framework. If a company does qualify, micro-entity accounts may be appropriate for an overdue period.
