Accounts are overdue when the applicable statutory deadline for delivering them to Companies House has passed and the accounts have still not been filed. Common reasons include a change of accountant, incomplete bookkeeping records, correspondence being sent to an old registered address, or an assumption that nothing needed to be filed because the company was quiet. Whatever the reason, the requirement to file remains until the accounts are prepared and delivered, and the position does not resolve itself simply by waiting.

Yes, in most cases they do. Dormancy and overdue filing are separate issues: a company can be dormant and still have accounts that are outstanding because they were not delivered by the relevant deadline. Filing obligations do not disappear simply because a company has not traded or has no income. Depending on the circumstances, a dormant company may be able to file a simpler form of accounts, but eligibility needs to be checked and the outstanding periods still have to be addressed.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the penalty scale is set out in its published rules rather than being decided case by case. The requirement to file the accounts continues regardless of any penalty, and an accountant cannot automatically reduce, cancel or remove a Companies House penalty. Where an appeal is considered, eligibility depends on the circumstances and the applicable Companies House rules.

No. The penalty and the filing obligation are separate matters. Paying a late-filing penalty does not satisfy the requirement to prepare and deliver the outstanding accounts, and the accounts will still show as outstanding on the Companies House record until they are actually filed. Both matters generally need to be dealt with, and the penalty is not optional where Companies House has applied one under its rules.

Where several periods are outstanding, each one may need its own set of accounts prepared and delivered, because filing a single period does not automatically clear the others. We can review the full filing history, work out which accounting periods remain open, and prepare them in a sensible order. How long this takes depends on the state of the records for each period, and we will not commit to a fixed completion date before reviewing what is involved.

Some companies may qualify for the micro-entity reporting framework and, where they do, FRS 105 is the financial reporting standard that applies to those accounts. It is not automatic, and a company is not treated as a micro-entity simply because it is small or was originally expected to file that way. Eligibility depends on the company's legal structure, accounting period and the qualifying criteria, so the appropriate framework should be confirmed before any overdue accounts are prepared.

Yes, they are separate compliance matters. Statutory accounts are delivered to Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable.
