What It Means When Company Accounts Become Overdue

Under UK company law, a limited company generally has to prepare annual accounts and deliver a copy to Companies House by the applicable statutory deadline. That deadline is calculated by reference to the company’s accounting reference period and the type of accounts being filed, so it is not the same for every company. When the deadline passes and the required accounts have not been delivered, those accounts become overdue. Overdue status simply means the filing deadline has been missed and the accounts remain outstanding — it does not, by itself, mean the company’s status has been suspended or removed from the register. Even so, it is worth dealing with the position promptly. Companies House may impose late-filing penalties where accounts are delivered after the deadline, and the longer accounts remain outstanding, the more serious the consequences can become. Overdue accounts are also separate from other compliance matters: a company may still need to submit its confirmation statement, and any Corporation Tax Returns such as a CT600 are submitted to HMRC rather than Companies House, so these obligations need to be considered separately. Yes, in most cases the obligation to prepare and deliver the accounts continues even though the deadline has passed. Overdue statutory accounts still need to be prepared and filed with Companies House where required, and the fact that a deadline has been missed does not usually remove that duty. Filing the accounts does not automatically cancel any late-filing penalty that may have been incurred, nor does it resolve other outstanding obligations such as a confirmation statement or a Corporation Tax Return submitted to HMRC. Yes. Dormancy and overdue filing are separate issues. A dormant company can still be required to deliver annual accounts to Companies House, so where the applicable deadline has passed without a filing, those accounts can be overdue even though the company has not traded. Dormant status does not remove the filing requirement, and dormant accounts are not the same thing as overdue accounts. If your company has been dormant and you are unsure what should have been filed, we can review the position and prepare the necessary accounts where applicable.

Companies House can impose late-filing penalties when accounts are delivered after the applicable deadline, and the level of any penalty depends on the circumstances, including how late the filing is and the type of company involved. Penalties are not optional and not every company receives the same treatment. It is also worth noting that penalty appeals, where available, depend on the specific circumstances and the applicable Companies House rules, so we cannot guarantee that a penalty will be reduced or removed. No. Paying a late-filing penalty does not satisfy the underlying filing obligation, and the two matters are dealt with separately. The accounts must still be prepared and delivered to Companies House where required, regardless of whether a penalty has been issued or paid. Directors sometimes assume that settling a penalty closes the matter, but the outstanding accounts remain outstanding until they are actually filed. Where a penalty notice has already been received, we can look at the filing position alongside it.

Where several periods are outstanding, each one may need to be addressed separately, which can mean preparing and filing more than one set of accounts. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. That said, an overdue filing does not automatically mean the company will be dissolved, and the position varies between companies. If a strike-off notice has already been issued, or if the company has been dissolved, the situation may need separate restoration steps or legal advice rather than being treated as a routine overdue accounts filing.
