Company accounts become overdue when the statutory filing deadline for that accounting period has passed and the required accounts have not yet been delivered to Companies House. It is not a separate status and it does not mean the company has been removed from the register — it simply means a required filing is outstanding. The deadline itself depends on the company's accounting reference period and its circumstances, so the position should be checked rather than assumed.

There are several common reasons. A director may not have realised the deadline had passed, bookkeeping records may be incomplete, information may still be awaited from a previous accountant, or someone may have assumed that a dormant or non-trading company had nothing to file. Whatever the reason, the practical position is the same: the accounts remain outstanding until they are prepared and delivered. We can look at the accounting period in question and help you work out what is still required.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have annual accounts obligations, and if the applicable deadline passed without the required accounts being delivered, those accounts can be overdue. Being dormant does not automatically exempt a company from filing, although the type of accounts to be delivered may differ depending on the company's circumstances. We can review your position and confirm what is needed.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and whether a penalty applies — and at what level — depends on the company's circumstances. Paying any penalty is a separate matter from the filing itself, and it does not remove the requirement to deliver the outstanding accounts. Persistent failure to meet filing obligations can also increase the risk of further action by Companies House, so it is generally better to address the position rather than leave it unresolved.

Yes. The penalty and the filing obligation are two distinct matters. Settling a penalty does not satisfy the requirement to prepare and deliver the accounts, and it does not mean the accounting period has been dealt with. The accounts still need to be filed where required. If you believe a penalty should not have applied, an appeal may be possible, but eligibility depends on the circumstances and the applicable Companies House rules, and we can explain what is involved.

In that situation, each outstanding period generally needs to be addressed separately, and filing one set of accounts does not clear the others. Several sets of accounts may need to be prepared, reviewed and delivered to Companies House, one period at a time. The information required for each period depends on the records available and the nature of the company's activity, so we usually start by confirming exactly which periods are unfiled.

Some companies may qualify to prepare micro-entity accounts under the micro-entity reporting framework, which uses FRS 105, and this can apply to a period that is already overdue if the company meets the eligibility conditions. It is not automatic, and not every small company qualifies. Eligibility depends on the company's legal structure, accounting period, size and the reporting framework that applies, so the appropriate basis should be confirmed before the accounts are prepared.

Yes. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Filing overdue accounts with Companies House does not automatically satisfy HMRC Corporation Tax obligations, and a confirmation statement is a separate Companies House filing again. A company with overdue accounts may therefore have other compliance matters to deal with alongside them, and where applicable we can help you identify what remains outstanding.
