I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why Directors Should Act Promptly

Company accounts become overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. The deadline is not identical for every company — it depends on factors such as the accounting reference period, whether these are the company’s first accounts and the company’s own circumstances — so the practical starting point is usually to confirm which periods remain outstanding and when each one fell due. Once accounts are late, the underlying obligation does not disappear: the accounts still need to be prepared, approved by the directors and delivered where required. A company that has stopped trading, generated no income for the period, or is dormant may still have an annual accounts filing obligation, and dormancy does not remove the requirement to file where accounts are due. Directors in Motherwell who discover that accounts are outstanding are generally better placed if they address the position early, because each period can be worked through separately, prepared from the records that are available and reviewed before anything is submitted. What follows depends on the circumstances of the company — Companies House may apply late-filing penalties where accounts are delivered after the applicable deadline, and the longer accounts remain outstanding, the more serious the consequences may become. It is also worth remembering that filing accounts does not automatically resolve other compliance matters, such as a confirmation statement or Corporation Tax obligations with HMRC, which may need to be dealt with separately.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the statutory deadline for delivering a set of accounts for a particular accounting period has passed and those accounts have not yet been filed with Companies House. The filing obligation remains in place until the accounts are prepared, approved by the directors and delivered. Being overdue does not, in itself, suspend or remove the company from the register — but it does need to be resolved, and what is required depends on the company's circumstances and on which periods are still outstanding.

In most cases, yes — outstanding accounts can still be prepared and delivered to Companies House after the deadline. Filing late does not usually remove the requirement to file, and Companies House may apply a late-filing penalty depending on the circumstances, including how late the accounts are and the company's filing history. If the company has received a compliance letter, a warning or a strike-off notice, the position may need to be handled differently and could require separate legal or restoration advice, so it is sensible to seek support quickly rather than wait.

Dormant companies can still have annual accounts filing obligations, and dormancy does not automatically mean the accounts are exempt from filing. Dormancy and overdue filing are two separate issues: a company may be dormant for a period and still have overdue accounts if the required accounts were not delivered by the applicable deadline. The reporting framework that applies to a dormant company depends on its structure and circumstances, so the position should be reviewed rather than assumed.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline. Whether a penalty applies, and the level of it, depends on the circumstances, including how late the accounts are and the company's previous filing record. Paying a penalty does not remove the requirement to file the outstanding accounts — the filing obligation and any penalty are dealt with as separate matters, and the accounts still need to be prepared and delivered.

Where more than one accounting period is outstanding, each period generally needs its own set of accounts, usually prepared and filed in the correct order. Filing one set will not automatically resolve the remaining periods, and the accounts for each period depend on the records available for that period. We can review the Companies House record with you, confirm what is outstanding, agree a sensible order of work and prepare each set of accounts for your approval before submission.

They can be used where the company qualifies for the micro-entity reporting framework for the relevant period — but not every company does, and a small company is not automatically a micro-entity. Eligibility depends on factors such as the company's size, legal structure and accounting period, together with the applicable reporting requirements. Where the micro-entity framework applies, the accounts are prepared under FRS 105; where it does not, another form of statutory accounts, such as small-company accounts, will be needed instead.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable — filing overdue accounts does not satisfy an outstanding Corporation Tax Return. A confirmation statement is also a separate Companies House filing in its own right, and it is not replaced by filing annual accounts. Where a company has accounts, a confirmation statement or Corporation Tax Returns outstanding, these are separate compliance matters that may need to be dealt with alongside one another.

We specialise in preparing and filing statutory accounts for companies with outstanding filings, including cases where several periods are behind. We can begin by reviewing your Companies House records and outstanding requirements, request the records needed for each accounting period, prepare the accounts for your review, confirmation and approval, and deliver them to Companies House where required. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and work is handled on clear, transparent fixed-fee pricing with no hidden costs, so you know where you stand before we begin.
