I worked with Accotx on a HMRC reclaim and overall, they did ultimately deliver on their promise, which I appreciate. The process did take longer than any of us expected, partly due to external delays with the tax authorities, and partly because there were some hiccups in communication and follow-up. However, despite those challenges, they stayed professional and stuck to the original agreed terms. If you’re considering using them, be prepared to stay in regular contact to keep things moving along. They are absolutely capable, have the expertise and willing to work with you, and overall improving their services over time. I would certainly return for any future needs.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Mean for Your Limited Company

Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is normally linked to the company’s accounting reference period and its own circumstances. Once that date passes without the required accounts being delivered, the accounts are treated as overdue — and the filing obligation does not disappear simply because the deadline has been missed. Whether a company is actively trading, dormant, between contracts or holding a property investment, the directors remain responsible for making sure any outstanding accounts are prepared and filed where required. It is usually better to deal with overdue accounts sooner rather than later. Companies House may apply late-filing penalties when accounts are delivered after the deadline, and the position can become harder to unravel the longer accounts stay outstanding. Persistent non-compliance may also increase the risk of further action, although this depends on the company’s circumstances and on decisions taken by Companies House rather than following automatically. Filing accounts is also only one strand of company compliance: Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing again. Where more than one accounting period is outstanding, each period may need to be prepared and filed in turn, and the reporting framework that applies — micro-entity accounts under FRS 105, small-company accounts or another form of statutory accounts — depends on the company’s size, structure and eligibility for the period in question. For directors in Morpeth with accounts sitting unfiled, the first practical step is usually a review of what is outstanding and what records are available to prepare it.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts become overdue when the applicable filing deadline has passed and the required statutory accounts have not yet been delivered to Companies House. That deadline is not the same for every company — it is generally linked to the company's accounting reference period and its individual circumstances. Being overdue does not remove the underlying obligation, so the accounts still need to be prepared and filed where required, even if the company is no longer trading or has had a quiet period.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have Companies House filing obligations, and it can therefore have overdue accounts if the required accounts were not delivered by the applicable deadline. Dormant accounts are not the same thing as overdue accounts, and dormant status on its own does not exempt a company from filing. We can check the position for the specific periods involved.

Companies House may impose a late-filing penalty when accounts are delivered after the applicable deadline, and the penalty that applies, if any, depends on how late the filing is and the company's circumstances rather than being identical in every case. Paying a penalty does not remove the requirement to file the outstanding accounts — the two matters are separate. Where a penalty appeal might be considered, eligibility depends on the circumstances and the applicable Companies House rules; we can review your position, but no particular outcome can be guaranteed.

Each outstanding period may need to be addressed separately, with its own set of accounts prepared and delivered to Companies House. Filing one set does not automatically clear the others, so it usually helps to establish the full picture first, look at the records available for each period and then work through them in a sensible order. The reporting framework used may also differ between periods depending on the company's size and eligibility at the time.

Some companies may qualify for the micro-entity reporting framework, and where they do, overdue accounts may be prepared under FRS 105. Not every company qualifies, however — eligibility depends on the company's legal structure, size and the accounting period in question, together with the directors' decision on which framework to adopt. A company with overdue accounts is not automatically a micro-entity company simply because it is small. We can confirm which framework is appropriate before anything is prepared.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing again. Delivering overdue accounts to Companies House does not automatically satisfy HMRC Corporation Tax obligations or replace the confirmation statement, so outstanding matters may need to be dealt with individually. We can help you review what is outstanding and assist with the relevant documents.

An overdue filing does not by itself suspend or dissolve a company — it means the relevant deadline has passed and the accounts remain outstanding. That said, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If the company has already received a strike-off notice or has been dissolved, the situation may require separate restoration or legal advice rather than being treated as an ordinary overdue filing, so it is worth seeking guidance promptly.

We prepare and file outstanding statutory accounts for limited companies and other eligible entities, and we can start by reviewing which periods are overdue and what information is needed to prepare them. Depending on the circumstances, that may include bookkeeping records, bank statements, invoices, expense records, previous accounts and company details — the exact requirements vary from company to company and period to period. Where documents need your review, confirmation or authorisation, we explain that clearly before anything is submitted. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and we keep communication straightforward throughout.
