Company accounts become overdue when the applicable filing deadline for a set of statutory accounts has passed and those accounts have not been delivered to Companies House. The deadline is based on the company's accounting reference period and its own circumstances, so it is not the same date for every company. If you are not certain which periods are outstanding, the filing history on the company's Companies House record is a sensible starting point.

Yes. Once a set of accounts is due, the obligation to prepare and deliver it does not disappear simply because the deadline has passed. In most cases the accounts still need to be prepared, approved by the director and filed. Filing the accounts addresses the Companies House obligation only; other duties, such as confirmation statements, Corporation Tax Returns (CT600) submitted to HMRC, or outstanding HMRC matters, may need to be dealt with separately.

Yes. Dormancy and overdue filing are separate issues. A dormant company may still have annual accounts filing obligations at Companies House, and if the required accounts were not delivered by the applicable deadline, they can be overdue in much the same way as those of a trading company. Whether a company meets the dormancy conditions, and what it is required to file, depends on its circumstances.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty depends on how late the accounts are and on the company's circumstances, and the position can become more serious the longer the accounts remain outstanding. Delivering the outstanding accounts does not automatically remove or cancel any penalty that has already been applied.

Yes. The penalty and the filing obligation are separate matters. Paying a penalty does not remove the requirement to prepare and deliver the outstanding accounts, and it does not by itself close the matter with Companies House. If a director believes a penalty has been applied incorrectly, whether an appeal can be made depends on the circumstances and the applicable Companies House rules.

Where more than one accounting period is outstanding, each period generally needs to be addressed separately, which may mean preparing several sets of accounts. Filing one set does not automatically resolve the others. We can review the company's filing history to establish which periods are overdue and set out what is needed for each one.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has been issued, the situation is more involved and it is sensible to take advice promptly — filing overdue accounts does not guarantee that strike-off action will be stopped or reversed. If a company has already been dissolved, that usually calls for a separate restoration process rather than an ordinary overdue filing.

Some companies may qualify for the micro-entity reporting framework, and where they do, overdue accounts can be prepared on that basis using FRS 105, the financial reporting standard that applies to qualifying micro-entity companies. Not every company qualifies, and eligibility depends on factors such as the company's size, legal structure and accounting period. A company that previously filed micro-entity accounts will not automatically do so for a later overdue period, so we confirm the appropriate reporting framework before preparing anything.
