What Are First Year Accounts for a Micro Company? A Guide for Limited Companies in Wingrave

First-year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They generally cover the period from the date of incorporation to the company’s first accounting reference date, although the exact period and the rules that apply to a first period can differ from those for later years, and the filing deadline follows from those dates rather than being the same for every company. These accounts are a statutory requirement, not an optional exercise, and they are normally filed with Companies House where required. A company may still have filing obligations even where trading has been limited or has not yet begun, so the position should be checked rather than assumed. A first accounting period can be treated differently from later periods, which is why it is worth confirming your own dates rather than relying on a general rule. Usually the company's accounting records for the period, which may include bank transactions, sales and income records, business expenses, purchase invoices, asset purchases, share capital details, director transactions and any loans or finance arrangements. The first accounting period often begins on incorporation and ends on the first accounting reference date, and Companies House rules for a first period can differ from those applying to later periods. Once the first set has been filed, subsequent years generally follow a more predictable cycle.

A company with little or no activity may still have statutory filing obligations, and it should not be treated as dormant automatically. Whether a dormant position applies depends on the specific circumstances and the applicable rules. No. Statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. Filing one does not complete the other. Information from the accounts may be used when preparing the company's Corporation Tax position, but the two filings serve different purposes and go to different places.

Some companies may qualify for the micro-entity framework if they meet the applicable eligibility requirements for the relevant accounting period, and FRS 105 is the standard used by qualifying entities within that framework. A new company does not automatically qualify simply because it is small or has just been incorporated, and low turnover alone does not guarantee eligibility. Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, and the outcome is not necessarily the same in every case.
