What Makes Company Accounts Overdue, and Why It Is Worth Acting Now

Company accounts become overdue when the statutory filing deadline that applies to them has passed and those accounts have not yet been delivered to Companies House. That deadline is not identical for every company: it depends on factors such as the company’s accounting reference period, whether it is newly incorporated and its individual circumstances. Once the deadline has passed, the accounts remain outstanding until they are properly prepared, reviewed and, where required, approved by the directors before delivery. It is tempting to assume that overdue accounts can be left until things are quieter, particularly where the company is dormant or has not traded. In practice, dormant companies can still have annual accounts filing obligations, and dormancy does not by itself remove the requirement to file. A company that has not traded may equally have outstanding statutory accounts if nothing has been delivered to Companies House. The position can also develop over time. Companies House may apply a late-filing penalty where accounts are delivered after the applicable deadline, and where non-compliance continues, the risk of further action — including compulsory strike-off procedures — can increase.
