First Year Accounts for Limited Company in Wakefield, with Professional Preparation and Filing Support

Micro Entity Accounts supports newly incorporated limited companies in Wakefield with First Year Accounts for Limited Company preparation. If your company has been incorporated recently, its first set of statutory accounts is one of the earliest compliance tasks to plan for, and setting the structure up properly in year one makes the following years considerably easier. We review the accounting records you hold, prepare the balance sheet and, where the applicable reporting framework requires it, a profit and loss account, then prepare the statutory accounts for delivery to Companies House where required. Where your company also has Corporation Tax obligations, these are dealt with separately with HMRC: a Corporation Tax Return such as a CT600 is a different filing with its own purpose and its own destination. Directors in Wakefield come to us because the process is explained clearly, the figures are checked properly, and someone is available to answer the questions that only appear once the first year is finished.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in Wakefield

First-year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are not optional, and they are not triggered by trading. Every UK limited company, including newly incorporated companies in Wakefield, is expected to prepare accounts for its accounting period and to deliver statutory accounts to Companies House where required. The first accounting period normally starts on the date of incorporation and runs to the company’s first accounting reference date, which is set by reference to the incorporation date. That is why a first accounting period can be longer than a standard twelve-month year, and why the date on which accounts are due follows from the company’s own dates and the applicable Companies House requirements rather than a single universal deadline. What the accounts actually contain depends on the company’s circumstances and the reporting framework that applies to it. A company that meets the relevant eligibility criteria for the accounting period may be able to prepare micro-entity accounts under FRS 105, the financial reporting standard applicable to qualifying entities using the micro-entity framework. Eligibility is assessed separately and is not automatic: a newly incorporated company is not automatically a micro-entity, and limited activity or low turnover does not by itself confirm qualification. Where the micro-entity framework does not apply, small company reporting or full reporting requirements may be relevant instead. Under the micro-entity framework the accounts are typically shorter, but a balance sheet, the required notes and the necessary statements are still prepared. It also helps to keep Statutory accounts are distinct from several other obligations that are sometimes lumped together. A Corporation Tax Return, such as a CT600, is submitted to HMRC where the company has Corporation Tax obligations, and the company’s first Corporation Tax accounting period does not necessarily match its statutory accounts period. A confirmation statement is a separate filing that keeps the information on the public register current. Preparing and filing first-year accounts does not, on its own, complete those other obligations, and none of these filings substitutes for another.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

They are the first set of statutory accounts a company prepares for its initial accounting period. That period normally runs from the date of incorporation to the company's first accounting reference date. The accounts include a balance sheet with the required notes and statements, and are delivered to Companies House where required. They are separate from a Corporation Tax Return and from a confirmation statement, even though all three may fall within a company's first year.

The due date depends on the company's incorporation date and its accounting reference date, so it is not identical for every company. Rather than assume a date, we check the details recorded at Companies House for your company and confirm the applicable filing deadline before preparation begins. Because first-year periods can be longer than twelve months, it is worth diarising the obligation early rather than waiting until the year end is in sight.

In practice we usually start with bank statements and transactions, sales and income records, purchase invoices and expense receipts, details of any assets purchased, director loan or expense transactions, share capital information and any loans or finance agreements. Where the company runs payroll or is VAT registered, those records are relevant too. If activity has been limited, we will still look at the records that exist, because the correct reporting position depends on the company's circumstances rather than on how much has happened.

A limited company is generally required to prepare accounts and to deliver statutory accounts to Companies House where required, regardless of whether it has started trading or generated income. Having no significant accounting transactions does not automatically mean the company is dormant, and the reporting position depends on the applicable rules. Directors remain responsible for ensuring the company meets its obligations, even when an accountant is engaged to prepare and file the accounts on its behalf.

No. Statutory accounts are delivered to Companies House, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has Corporation Tax obligations. Figures from the accounts often feed into the tax return, but the two filings serve different purposes, go to different destinations and do not complete one another. The company's first Corporation Tax accounting period may also differ from its statutory accounts period.

Some newly incorporated companies do qualify, but eligibility is assessed against the applicable requirements for the relevant accounting period and the company's own circumstances. Being new, small or lightly traded does not automatically make a company a micro-entity, and FRS 105 does not apply to every new limited company. We check eligibility before preparing accounts on that basis, and where the micro-entity framework is not appropriate we use the framework that fits.

Yes, generally. A confirmation statement is a separate filing that keeps your company's details at Companies House up to date, and it is not replaced by filing first-year accounts. Directors in Wakefield and elsewhere usually need to keep both obligations in view, along with any separate Corporation Tax requirements, and to make sure the information held on the register is accurate.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and the outcome can differ depending on how late the filing is and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts, so the priority is to get the accounts prepared and delivered. Penalty appeals are possible in some circumstances, but eligibility depends on the facts and the applicable rules; we can talk you through your options if the position arises.
