What Are First Year Accounts for a Micro Company, and Which Accounting Period Do They Cover?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company has only recently been incorporated. On incorporation, Companies House allocates an accounting reference date, and that date shapes the first accounting period and the length of time the accounts should cover. The first period often runs from the date of incorporation to the first accounting reference date, which can make it longer than twelve months; later periods are usually twelve months, although that is not always the case. Because the dates depend on the individual company, it is worth confirming what applies to your own record rather than assuming a standard pattern. The accounts are built from the company’s accounting records. Depending on what the company has done, that may include bank transactions, sales and income records, business expenses, purchase invoices, asset purchases, share capital information from incorporation, director transactions, loans or finance arrangements, and payroll or VAT records where those apply. From those records, a balance sheet is prepared, together with a profit and loss account and notes where applicable. An eligible company may be able to use the micro-entity framework if it meets the eligibility requirements for the relevant period; FRS 105 is the financial reporting standard applicable to qualifying entities using that framework. Not every new company qualifies, and FRS 105 does not apply automatically, so the appropriate framework is a decision to be made on the company’s circumstances. First year statutory accounts are also not the same thing as the company’s other compliance filings. A Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and the company’s first Corporation Tax accounting period may not match its statutory accounts period. A confirmation statement is a separate Companies House filing that confirms the information held on the public register, and filing accounts does not replace it. Bookkeeping records sit behind all of these as the underlying evidence. Where required, the completed first year accounts are delivered to Companies House as the company’s statutory filing. Directors remain responsible for ensuring the company meets its obligations, keeps adequate accounting records and approves the accounts, even where an accountant is engaged to prepare and submit them.

Most first year accounts are prepared from the company's accounting records. A limited company still has statutory obligations even where its activity has been limited or it has not yet begun trading. What that means in practice depends on the company's circumstances and the applicable rules. A company with no significant accounting transactions is not automatically dormant — dormancy has its own conditions and the filing position differs accordingly.
