What Are First Year Accounts for a Micro Company, and Why Do They Matter?

When a limited company is incorporated, its first set of annual statutory accounts covers the period from incorporation — or from the date the company’s accounting period begins — through to its first accounting reference date. These are the first-year accounts, and they are not optional. Even a company with very limited activity may still need to prepare and deliver statutory accounts, so the starting point is always working out the company’s actual accounting period and what Companies House requires for it. An eligible company may be able to use the micro-entity accounting framework, and FRS 105 is the financial reporting standard applicable to qualifying entities using that framework. Eligibility, however, is assessed against the requirements that apply to the relevant accounting period. Not every newly incorporated company qualifies as a micro-entity, and a company with more substantial activity may fall within the small company regime instead. The accounting period is driven by the company’s incorporation date and its accounting reference date, and it does not always follow the pattern directors assume. It is common for a first accounting period to run differently from later periods, and directors in Trowbridge are often surprised to find that a company’s first Corporation Tax accounting period and its first statutory accounts period do not necessarily line up exactly.
