First Year Accounts for Limited Company in St Ives — Professional Preparation and Filing Support

Your company’s first accounting period sets the pattern for everything that follows, and the statutory accounts prepared for it need to reflect what actually happened in the business. First Year Accounts for Limited Company support in St Ives covers the practical work: reviewing your accounting records, preparing a balance sheet and, where applicable, a profit and loss account, and delivering the statutory accounts to Companies House where required. Directors remain responsible for the information that is filed, so we work through the figures and disclosures with you rather than simply handing over a document. Where the company also has Corporation Tax obligations, that is a separate matter for HMRC — accounts filed at Companies House are not a substitute for a CT600, and a CT600 does not replace the accounts.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company? A Practical Guide for New Limited Companies in St Ives

First-year accounts, sometimes called first statutory accounts or new limited company accounts, are the initial set of annual accounts prepared for a company’s first accounting period. That period begins on the incorporation date and ends on the company’s first accounting reference date. It can run for more than twelve months or for less than twelve months, depending on when the accounting reference date falls and whether it has been changed, so two companies incorporated a few weeks apart may not share the same period end. The accounts are prepared from the company’s accounting records and normally include a balance sheet, and a profit and loss account where applicable, together with the notes and statements required by the reporting framework in use. Once finalised, they are delivered to Companies House where required. Filing them does not discharge the company’s other obligations: a confirmation statement may still need to be submitted separately, and where a limited company has Corporation Tax obligations, a CT600 is submitted to HMRC rather than to Companies House. The company’s first Corporation Tax accounting period and its statutory accounts period are not necessarily identical. Some newly incorporated limited companies in St Ives qualify for the micro-entity accounting framework, which allows a simplified set of accounts, and FRS 105 is the financial reporting standard applicable to qualifying entities within that framework. Eligibility is not automatic — it depends on whether the company meets the applicable conditions for the relevant accounting period — so a company that does not qualify may report under the small-company framework or under full reporting requirements instead. Establishing which framework applies is one of the first practical steps in preparing first-year accounts.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

They are the first set of statutory accounts a company prepares after incorporation, covering its initial accounting period rather than a full twelve months in every case. They normally include a balance sheet, and a profit and loss account where applicable, plus the notes required by the reporting framework the company uses. They are distinct from other compliance filings: statutory accounts are delivered to Companies House where required, a Corporation Tax Return such as a CT600 is submitted to HMRC, and a confirmation statement simply confirms that the company's registered details remain up to date.

The due date depends on the company's incorporation date, its accounting reference date and the applicable Companies House filing rules, so there is no single deadline that applies to every newly incorporated company. The accounting reference date is generally set from the incorporation date, and the first period can be longer or shorter than twelve months. Rather than assume a date, it is worth checking the company's record at Companies House and confirming the position early, particularly for directors in St Ives who incorporated during a busy trading period.

Usually the company's accounting records for the period: bank statements and transactions, sales and income records, purchase invoices and business expenses, details of assets bought or sold, share capital information, and loans or director transactions. Payroll and VAT records matter where those apply. Not every company will have all of these. A company with limited activity may only have incorporation costs and share capital movements, which is fine — the accounts still need to reflect what genuinely took place.

In most cases, yes. A newly incorporated company generally has to prepare and file statutory accounts for its first accounting period, and that obligation is not triggered purely by starting to trade. There are limited exceptions and specific reporting positions for some companies, and the correct treatment depends on the circumstances. If you are unsure how the rules apply to your company, it is worth confirming the position rather than assuming no accounts are required.

No. Statutory accounts are prepared for the company's members and filed at Companies House where required, while a CT600 is a Corporation Tax Return submitted to HMRC for a different purpose. A limited company may well have Corporation Tax obligations in addition to its accounts filing, and the figures from the accounts often feed into that work, but completing one filing does not complete the other. The first Corporation Tax accounting period and the statutory accounts period are not always the same length either.

A company that has not yet commenced trading may still have a statutory accounts filing obligation at Companies House. Whether a company is dormant for other purposes is a separate question that depends on its circumstances and the applicable rules, and a company with no significant accounting transactions is not automatically dormant. Where the position is unclear, it is usually sensible to check before the filing window closes rather than after.

Some newly incorporated companies qualify for the micro-entity framework and some do not. Eligibility depends on meeting the applicable conditions for the relevant accounting period and is assessed on the company's own position rather than its age. FRS 105 is the financial reporting standard applicable to qualifying entities using the micro-entity framework; it does not apply to every new company automatically. Where a company does not qualify, small-company or full reporting requirements may apply instead.

Failing to deliver accounts by the applicable deadline can lead to Companies House consequences, which may include late filing penalties. How those apply depends on the length of the delay and the rules in force at the time, and paying a penalty does not remove the requirement to file the outstanding accounts. Where a director considers there is a valid reason for the delay, whether an appeal is available depends on the circumstances and the applicable rules — but the priority is normally to get the accounts prepared and filed.
