What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in Coldfield

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. That period begins on the date of incorporation and ends on the company’s first accounting reference date, which means the first set of accounts can cover more or less than twelve months. They are not optional, and the obligation can apply even where the company has had limited activity during the period. The accounts are prepared from the company’s accounting records and are generally delivered to Companies House where required. Some companies may be eligible to report using the micro-entity framework, with accounts prepared under FRS 105, the financial reporting standard applicable to qualifying entities. They are prepared from the company's accounting records and are generally filed at Companies House where required.

There is no single date that fits every company. The first accounting reference date is usually set by reference to the month of incorporation, and the filing deadline for a first set of accounts can differ from the deadline that applies in later years. Because both depend on the company's own incorporation date and accounting reference date, it is worth confirming the applicable deadline for your company rather than relying on a general rule of thumb. You can check the company's record at Companies House, or ask us to review the dates with you.

It depends on what the company has done during the period. As a general guide, we look at bank statements and transactions, sales and income records, purchase invoices and business expenses, details of any assets purchased, share capital information, director loan movements, any loans or finance arrangements, and payroll or VAT records where those apply. A company with very little activity may have only a small number of items to review, but the accounts still need to reflect the position accurately. Well-kept bookkeeping records make preparation quicker and reduce queries.

In many cases a company still has statutory accounts obligations even where it has not yet started trading or has only limited activity. Whether accounts need to be filed, and what they should contain, depends on the company's circumstances and the applicable rules. A company is not automatically dormant simply because it has few or no transactions, as dormant status has its own conditions. It is usually best to confirm the position early, particularly where the company has already incurred costs such as formation or accountancy fees.

A CT600 is a Corporation Tax Return submitted to HMRC where the company has Corporation Tax obligations. Accounting information from the statutory accounts often feeds into the tax return, but submitting one does not complete the other, and the company's first Corporation Tax accounting period may not match its statutory accounts period.

No, a confirmation statement is a separate filing. It confirms that the information Companies House holds about the company, such as its directors, registered office and share capital, remains accurate. Filing first year accounts does not satisfy the confirmation statement requirement, and submitting a confirmation statement does not discharge the accounts filing obligation. A newly incorporated company may need to deal with both during its first period of trading.

It may do, if it meets the eligibility conditions for the relevant accounting period. Micro-entity accounts are prepared under FRS 105, the financial reporting standard applicable to qualifying entities, and the requirements are more streamlined than those for larger frameworks. Qualifying is not automatic, however: not every newly incorporated company is a micro-entity, and a low turnover figure on its own does not confirm eligibility. We review the criteria against your company's circumstances before deciding which framework applies.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, which may include penalties. The outcome depends on the circumstances and the length and reason for the delay, so it is not identical in every case, and paying a penalty does not remove the requirement to file the outstanding accounts. If a filing date has already passed, or you are concerned that it might, it is worth taking advice promptly, as appeal eligibility depends on the facts and the applicable rules.
