First Year Accounts for Limited Company in Colden Common, Prepared and Filed With Professional Support

Your company’s first set of statutory accounts sets the tone for everything that follows, and for a newly incorporated business in Colden Common it pays to get them right. Micro Entity Accounts helps directors prepare First Year Accounts for Limited Company periods properly: we review your accounting records, prepare the balance sheet and profit and loss account where applicable, and file the accounts with Companies House where required. Where your company also has Corporation Tax obligations, we can help prepare the information needed for a CT600 — a separate submission made to HMRC, not Companies House. Whether you have been trading for months or your activity has been limited so far, we can confirm what is needed for your first accounting period and support you through it.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They cover the period from incorporation, or from the start of the accounting period, through to the company’s first accounting reference date, and they are a legal requirement for a limited company rather than an optional exercise. That applies to companies in Colden Common just as it does anywhere else in the UK, and it applies even where trading has been limited or has not yet started. The first accounting period is set by reference to the company’s accounting reference date, which Companies House establishes on incorporation. The first period is often longer than twelve months, which is one reason first-year accounts can look different from the annual accounts filed in later years. The period end, and the filing deadline that follows from it, depend on the incorporation date and the applicable Companies House requirements, so it is sensible to confirm the dates that apply to your own company instead of assuming they match another company’s timetable. Some companies are eligible to prepare accounts under the micro-entity framework, using FRS 105, the financial reporting standard applicable to qualifying entities. Micro-entity status is not automatic for a newly incorporated company, and the right reporting framework depends on the company’s circumstances and the eligibility conditions for the relevant accounting period. A company may also fall within the small-company framework instead. Establishing which framework applies is part of preparing the accounts accurately. It is equally important to separate first-year statutory accounts from the company’s other obligations. A Corporation Tax Return, such as a CT600, is submitted to HMRC, not to Companies House, and the company’s first Corporation Tax accounting period may not be identical to its statutory accounts period. A confirmation statement is a further, separate filing. Delivering accounts to Companies House does not complete a CT600, and submitting a CT600 does not complete the Companies House accounts filing — the two have different purposes and different destinations.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

They are the first set of statutory accounts your company prepares for its initial accounting period, covering the period from incorporation, or from the start of the accounting period, up to the first accounting reference date. They normally include a balance sheet, and a profit and loss account where applicable, along with any notes and statements required by the framework you report under and by Companies House. Preparing them is a statutory duty for a limited company, including newly incorporated companies in Colden Common, and it is not something that can be skipped simply because the company is new.

The deadline is not the same for every company. It is calculated from your company's accounting reference date and the fact that this is a first set of accounts, which is treated differently from later years. Companies House sets the accounting reference date when the company is incorporated, and that date drives the period covered and the filing deadline. Because the timing depends on your incorporation date and the applicable requirements, check the deadline recorded for your own company on the Companies House register rather than relying on a general rule of thumb.

It depends on what the company has done, but typically we will ask for bank statements and transactions, sales and income records, purchase invoices and business expenses, details of any assets bought, director transactions and loans, share capital information, and any finance or hire purchase agreements. If the company runs payroll or is VAT registered, the relevant records will also be needed. A company with very little activity will still need to account for whatever has taken place, including any share capital introduced and expenses paid on the company's behalf.

Yes, where the filing requirement applies to the company. Incorporation brings with it statutory filing obligations, and the first accounts are part of those obligations even if the company has only recently started or has not yet begun trading. Where there have been no significant accounting transactions, the correct reporting position depends on the company's specific circumstances and the applicable rules — it should not be assumed that the company is dormant without checking. Directors remain responsible for making sure the filings happen.

No. First year accounts are prepared for the company and delivered to Companies House where required. A Corporation Tax Return, usually a CT600, is submitted separately to HMRC, and the company's first Corporation Tax accounting period may not match its statutory accounts period. The figures from the accounts often feed into the tax computation, but the two filings serve different purposes and go to different organisations. Completing one does not automatically complete the other.

It may, but eligibility is not automatic just because a company is small or newly formed. The micro-entity framework, which uses FRS 105, applies only to entities that meet the relevant eligibility conditions for the accounting period in question. A company that does not qualify may fall within the small-company framework instead. We look at your company's circumstances, including its balance sheet position where relevant, before deciding which framework to use for the first-year accounts.

No, these are separate filings. The confirmation statement confirms that the information Companies House holds about the company — such as directors, registered office and share capital — is up to date. Filing your first statutory accounts does not satisfy that requirement, and the confirmation statement does not replace the accounts. Companies generally need to keep both obligations in view, and directors should ensure the register details remain accurate throughout the year.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, which vary depending on how late the accounts are and the company's filing history. Paying any penalty does not remove the requirement to file the outstanding accounts. If you believe there was a valid reason for the delay, an appeal may be possible, but eligibility depends on the circumstances and the applicable rules. If your first-year accounts are already overdue, the priority is to get them prepared and filed without further delay.
