First Year Accounts for Limited Company in Clacton-on-Sea: Preparation, Review and Filing Support

A newly incorporated limited company has a first set of statutory accounts to prepare for its initial accounting period, and getting that set right creates a much clearer starting point for every year that follows. Micro Entity Accounts supports directors in Clacton-on-Sea with the preparation of first year statutory accounts, including reviewing the accounting records behind them, drafting a balance sheet and, where applicable, a profit and loss account, and delivering the accounts to Companies House where required. We also help directors understand which reporting framework applies to their company and how the accounts sit alongside separate obligations, such as the Corporation Tax Return (CT600) submitted to HMRC where applicable. Whether the company has traded throughout the period, started part-way through it, or has seen limited activity, we can help clarify what needs to be prepared and what information is required.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. That period generally begins on the date of incorporation, though the exact start and end dates depend on the company’s accounting reference date and whether that date has been changed. The first period can be longer or shorter than twelve months, which is one reason first year accounts often look different from the accounts prepared in later years. The accounts are built from the company’s accounting records and typically include a balance sheet, a profit and loss account where applicable, and the notes required by the reporting framework being used. Directors remain responsible for the accuracy of those records and for ensuring the company meets its filing obligations, even when an accountant prepares the figures. Once prepared, first year statutory accounts are generally filed with Companies House where required. That filing is separate from a Corporation Tax Return such as a CT600, which is submitted to HMRC where applicable, and separate again from the confirmation statement, which confirms the company’s registered information rather than reporting its financial position. Some companies may be able to use the micro-entity accounting framework and FRS 105 where it applies, but eligibility depends on the company’s size and circumstances for the relevant accounting period. Being newly incorporated does not automatically make a company a micro-entity, so the appropriate framework should be confirmed before the accounts are prepared. For a director in Clacton-on-Sea running a new company, checking this early usually makes the whole process more straightforward.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

Get Your First Year Accounts for Limited Company in Clacton-on-Sea Prepared Properly

The first accounting period of a new company often raises questions that are not obvious from the incorporation paperwork: which records need to be kept, how the accounting period is actually calculated, which reporting framework applies, and what has to be sent to Companies House. Micro Entity Accounts works with directors of newly incorporated and newly trading companies to prepare first year statutory accounts from the underlying accounting records, review the figures with you, and support the filing process where required. We can also explain how those accounts relate to separate HMRC obligations, such as a Corporation Tax Return, so you are not left assuming one filing covers everything. If your company’s first accounting period has ended, or is approaching, get in touch and we will help you understand exactly what is needed and prepare it accurately.

They are the first set of statutory accounts a company prepares for its initial accounting period, covering the period from incorporation through to its first accounting reference date. They typically include a balance sheet, a profit and loss account where applicable, and supporting notes required by the relevant reporting framework. First year accounts are the same type of statutory accounts prepared in later years, but the first period may differ in length, so the figures and comparatives can look different from a standard twelve-month set.

The deadline depends on the company's incorporation date, its accounting reference date and the applicable Companies House requirements, so it is not the same for every company. The first accounting period is often longer than twelve months, which affects when the accounts need to be delivered. Directors can check the company's accounting reference date on the Companies House register, and we can help confirm the position for a specific company before the period ends.

Usually the company's accounting records for the period: bank statements and transactions, sales invoices or income records, purchase invoices and expense receipts, details of any assets bought, share capital information, and records of director transactions or loans. Where the company operates payroll or is registered for VAT, those records may also be relevant. Not every company will have all of these, and the exact list depends on what the company has actually done during the period.

In most cases a limited company has statutory accounts filing obligations even if it has only recently been incorporated, has had limited activity, or has not yet started trading. A company is not automatically treated as dormant simply because there has been little or no activity, so the reporting position should be considered on its own facts. Directors in Clacton-on-Sea and elsewhere are responsible for making sure the company meets those obligations, even where an accountant prepares the accounts.

No. First year statutory accounts are delivered to Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable. They serve different purposes and go to different organisations. Information from the accounts is often used when preparing the Corporation Tax position, but filing one does not complete the other, and the company's first Corporation Tax accounting period may not be identical to its statutory accounts period.

It may do, but eligibility depends on the company meeting the applicable requirements for the relevant accounting period rather than simply being newly incorporated or having low turnover. Where a company qualifies, the micro-entity framework and FRS 105 may be available, which can simplify the accounts that are prepared. The correct framework should be confirmed based on the company's circumstances before the accounts are drafted.

No, they are separate filings. The confirmation statement confirms the company's registered details, such as its directors, registered office and share information, while first year accounts report the financial position for the accounting period. A company may still need to submit a confirmation statement and keep its Companies House information up to date, regardless of whether its accounts have been filed.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and those consequences can vary depending on how late the filing is and the rules that apply. Paying any penalty does not remove the requirement to file the outstanding accounts. If accounts have been filed late, the scope for an appeal depends on the circumstances and the applicable rules, so it is worth taking advice rather than assuming an outcome.
