What Are First Year Accounts for a Micro Company, and When Do They Apply?

First-year accounts are the first set of annual statutory accounts a limited company prepares, covering the period from incorporation (or from the start of trading, depending on the circumstances) up to the company’s first accounting reference date. Every limited company has an accounting reference date, and Companies House sets an initial one automatically when the company is incorporated. That date can, in some cases, be changed, which is why two companies incorporated in the same week do not necessarily share the same first accounting period or the same filing deadline. The accounts themselves are normally made up of a balance sheet, and a profit and loss account where the company’s chosen reporting framework requires one, together with any notes and disclosures that apply. Once prepared, they are generally filed with Companies House where required. Yes, a limited company generally has statutory accounts filing obligations arising from incorporation, and the first accounting period is not exempt simply because the company is new. That remains the case where the company has not yet started trading or has had only limited activity. What the accounts look like, and whether the company is treated as dormant for filing purposes, depends on the transactions that have actually taken place and the applicable rules — it is not something that should be assumed either way.
