First Year Accounts for Limited Company in Cathays, Prepared and Filed With Confidence

If you have recently incorporated a limited company in Cathays, your first set of statutory accounts is one of the earliest compliance milestones you will meet. We prepare First Year Accounts for Limited Company clients across the UK, working from your bookkeeping and accounting records to build a balance sheet and, where applicable, a profit and loss account that properly reflects the company’s first accounting period. We then support you with delivering those accounts to Companies House where required, and we will explain the figures rather than simply hand over a document. Corporation Tax is handled separately and is submitted to HMRC, usually as a CT600, so we can help you understand how the accounts information feeds into that process without suggesting the two filings are the same thing. Whether you are a contractor, a startup or a small trading company, you get clear pricing and a straightforward explanation of what is needed and when.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and How Do They Work for New Limited Companies in Cathays?

First-year accounts are the first set of statutory annual accounts a limited company prepares, covering its initial accounting period. That period normally runs from the date of incorporation to the company’s first accounting reference date, which is set when the company is registered at Companies House. Some companies shorten or extend that first period, so the length of a first accounting period is not identical for every company, and the resulting filing deadline is calculated from the relevant dates rather than being a fixed number of months that applies to everyone. The accounts themselves are a formal summary of the company’s financial position at the end of that period. For a company that qualifies, the micro-entity framework can be used, and the accounts are usually short: a balance sheet, a small number of notes and, where applicable, a profit and loss account, prepared under FRS 105, the financial reporting standard that applies to qualifying micro-entity companies. Qualification is not automatic simply because a company is new, small or has modest turnover — the eligibility conditions have to be tested against the company’s own circumstances for the accounting period in question. A company that does not meet them would report under a different framework, such as the small companies regime. Once prepared and approved by the directors, the accounts are delivered to Companies House where required. That step is separate from a Corporation Tax Return: a CT600 is submitted to HMRC, covers a Corporation Tax accounting period that may not line up exactly with the statutory accounts period, and exists for a different purpose. A confirmation statement is a third, separate obligation. Completing one of these does not complete the others, and directors remain responsible for making sure each requirement is met.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees
(10 or less previously)

Professional Help With First Year Accounts for Limited Company in Cathays

The first set of accounts is often where new directors feel least certain — which dates the accounting period actually covers, which records need to be pulled together, which reporting framework fits, and what has to go to Companies House rather than to HMRC. Micro Entity Accounts works with newly incorporated limited companies in Cathays and elsewhere to prepare those accounts from the records available, explain what the figures mean and support the filing at Companies House where required. If your records are still scattered, or your first period is drawing to a close, it is far easier to get a professional view before the deadline than after it. Talk to us about your company’s position and we will set out the practical next steps, including how any Corporation Tax obligations fit alongside the accounts.

They are the first set of statutory annual accounts a company prepares, covering its initial accounting period — usually from the date of incorporation to the company's first accounting reference date. They normally include a balance sheet with supporting notes, and a profit and loss account where the applicable reporting framework requires or permits one. Once the directors have approved them, they are delivered to Companies House where required. They are not a Corporation Tax Return, which is a separate submission made to HMRC.

It depends on the company's incorporation date and its accounting reference date, so first accounts are not due on the same schedule for every company. The deadline is calculated from those dates and may be longer than the deadline that applies in later years, particularly where the first accounting period is longer than the standard period. The reliable starting point is the date shown on your company's Companies House record. If you are unsure how your dates work, we can review them with you before anything becomes urgent.

It varies by company, but typically we would look at bank transactions for the whole period, sales and income records, business expenses and purchase invoices, asset purchases, share capital information, any director loans or transactions between the director and the company, and loans or finance agreements. Where the company runs payroll, or is VAT registered, the relevant payroll and VAT records would also be part of the picture, along with any other supporting documents. Not every company will have all of these, and we will tell you what actually matters for your circumstances rather than asking for paperwork you do not need.

In most cases, yes. A company incorporated in Cathays or anywhere else in the UK takes on statutory filing obligations when it is registered, and those obligations normally apply even where trading activity has been limited. The exact position depends on the company's circumstances and the applicable rules. A quiet first period does not by itself remove the requirement, and having no significant accounting transactions does not automatically make a company dormant — dormancy depends on specific conditions being met. Directors should treat the Companies House accounts requirement as separate from anything owed to HMRC.

No. First-year statutory accounts are prepared for the company and delivered to Companies House where required. A CT600 is a Corporation Tax Return submitted to HMRC, and it serves a different purpose — it reports the company's position for a Corporation Tax accounting period, which may not be identical to the period covered by the statutory accounts. Filing one does not file the other, and the information may be used in both without the submissions being interchangeable. A confirmation statement is a third separate obligation, and filing accounts does not replace the need to keep it up to date.

In many cases the company will still have statutory accounts obligations, even where activity has been minimal or trading has not yet begun. What the accounts look like, and whether any alternative reporting position applies, depends on the company's circumstances and the applicable rules rather than on the absence of sales alone. A company should not assume it can simply ignore the first period. It is worth reviewing the position early, because decisions made in the first period — share capital, expenses met personally by a director, or equipment bought before trading starts — often need to be reflected somewhere.

It can, but not automatically. The micro-entity framework is available to companies that meet the eligibility conditions for the accounting period in question, and those conditions need to be tested against the company's own figures and circumstances. A newly formed company with modest activity in its first period may well qualify. A company that is part of a larger group, or that exceeds the relevant thresholds, may not. Where the framework applies, FRS 105 is the financial reporting standard used and the resulting accounts are typically shorter than full accounts. Where it does not apply, another framework such as the small companies regime would be used instead.

Missing the applicable deadline for delivering accounts to Companies House can lead to consequences, including late filing penalties, and the outcome can differ depending on how late the accounts are and the company's filing history. Paying a penalty does not remove the requirement to file the outstanding accounts. Where there is a genuine reason for the delay, an appeal may be possible, but eligibility depends on the circumstances and the applicable rules — it is not something that can be assumed. The practical priority is usually to get the accounts prepared and delivered as soon as they can be.
