What Are First Year Accounts for a Micro Company? A Guide for New Limited Companies in Callington

First-year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. They are not optional, and they are not replaced by submitting a Corporation Tax Return. A limited company must prepare annual accounts covering each financial year and, once those accounts are complete, deliver them to Companies House where required. The due date depends on the company's accounting reference date and the length of its first accounting period, so a newly incorporated company's first accounts deadline is not necessarily the same as another company's. The accounting reference date and the next accounts due date are shown on the Companies House register, and it is sensible to check these on the register or confirm them with your accountant. If the accounting reference date is changed, the filing date can move as well.

It depends on what the company has actually done, but it usually includes bank statements and transaction listings, sales and income records, purchase invoices and expense receipts, details of any assets bought or sold, share capital information, movements on any director's loan account, and loan or finance agreements. Payroll records and VAT records matter where those apply. If the company has had very little activity, the records may be minimal, but the accounts still need to be prepared on the correct basis.

A limited company is required to prepare accounts for its accounting period and to deliver them to Companies House where required, whether or not it has generated income. Where required accounts are delivered after the applicable deadline, Companies House consequences can follow, and the outcome depends on the circumstances and how overdue the filing is. Paying any penalty does not remove the obligation to file the outstanding accounts. If accounts are already overdue, the usual priority is to prepare and file them as soon as possible, and whether an appeal is available depends on the reasons for the delay and the applicable rules.
