First Year Accounts for Limited Company in Buxton, Prepared and Filed with Professional Support

If your company has been incorporated recently, its first set of statutory accounts needs to be prepared for the initial accounting period and filed with Companies House where required. For directors across Buxton, the practical questions usually come first: which dates the accounts cover, what records are needed, and how the accounts sit alongside the company’s other compliance duties. Micro Entity Accounts supports directors with First Year Accounts for Limited Company preparation, reviewing the underlying accounting records and completing the Companies House filing where applicable. We can also work through the figures that inform the company’s Corporation Tax position, which is a separate matter dealt with through HMRC, typically by way of a CT600, rather than through Companies House.

I highly recommend Imran to anyone looking for a reliable and knowledgeable accountant. He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. He guided me through each step and helped rectify issues that had built up over time, making what felt like an overwhelming situation much more manageable. I'm very pleased with the service I've received and truly appreciate his support. If you need help with your accounts or taxes, I would highly recommend Imran.

We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company, and When Can That Framework Be Used?

First year accounts are the first set of statutory accounts a limited company prepares for its initial accounting period. That period normally starts on the incorporation date and runs to the company’s first accounting reference date, although the length of a first period can differ from a normal twelve-month year and may be altered in certain circumstances. These accounts are not optional simply because the company is new, and a filing obligation can exist even where activity has been limited. Where required, the accounts are delivered to Companies House, which registers them; it does not approve them, and it does not assess whether an accountant prepared them. A micro company is a company that meets the eligibility conditions for the micro-entity reporting framework for the relevant accounting period. Where those conditions are met, accounts may be prepared under that framework, and FRS 105 is the financial reporting standard that applies to qualifying micro-entities. Not every newly incorporated company qualifies, and a company that does not may instead fall within the small-company framework or another basis of reporting, depending on its circumstances. It is also worth keeping the separate filings distinct: statutory accounts go to Companies House, a Corporation Tax Return such as a CT600 goes to HMRC where applicable, and a confirmation statement is a further, standalone filing that keeps the public register up to date.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

Business Turnover

Annual Turnover of £1 Million or less. (£632,000 previously)

Balance Sheet

Balance sheet total of £500,000 or less.(£316,000 previously)

Company Size

On an average 10 or less employees

They are the first set of statutory accounts prepared for a company's initial accounting period. That period generally runs from the incorporation date to the company's first accounting reference date, although a first period can be longer or shorter than a standard twelve-month year. The accounts usually include a balance sheet, together with a profit and loss account and notes where the applicable reporting framework requires them. Directors remain responsible for ensuring the accounts are prepared and filed, even where an accountant is engaged to handle the work.

The due date depends on the company's incorporation date, its accounting reference date and how long its first accounting period runs, so it is not identical for every company. First-period filing requirements can also differ from later years. Rather than relying on a general rule of thumb, check the company's own filing information at Companies House or take advice on the specific deadline that applies to your company before the period ends.

The exact list depends on what the company has done since incorporation. Useful records typically include bank statements and transactions, sales and income records, purchase invoices and receipts, details of asset purchases, share capital information, any director transactions or loans, and finance agreements. Payroll or VAT records may also be relevant where the company is registered. Company details such as the incorporation date, registered office and accounting reference date are needed as well.

In most cases, yes. Companies House expects most companies to file annual accounts, and a newly incorporated company will usually have a first filing obligation, even where activity has been limited. Filing first year accounts does not replace the confirmation statement, which is a separate annual filing that keeps the public register accurate. Companies House registers the accounts that are delivered to it; it does not prepare them, approve them or confirm how they were produced.

No. The statutory accounts are prepared for the company and filed with Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where the company has a Corporation Tax obligation. The two serve different purposes and go to different bodies, so filing one does not complete the other. The figures in the accounts often inform the Corporation Tax position, and the company's first Corporation Tax accounting period may not necessarily match the period covered by its statutory accounts.

A company can still have statutory filing obligations even where it has had limited activity or has not yet commenced trading, so the position should be checked rather than assumed. Where there have been no significant accounting transactions, the correct treatment depends on the company's circumstances and the applicable rules, and this does not automatically make the company dormant. Directors may also need to consider whether HMRC should be informed about the company's trading status.

Some newly incorporated companies do qualify, but it is not automatic and low activity alone does not settle the question. Eligibility depends on meeting the conditions of the micro-entity framework for the relevant accounting period. Where those conditions are met, accounts may be prepared under the micro-entity framework, and FRS 105 is the standard applicable to qualifying micro-entities. If the company does not qualify, another framework such as the small-company regime may apply instead, depending on its circumstances.

Failing to deliver required accounts by the applicable deadline can lead to Companies House consequences, and the outcome is not always the same for every company and every delay. Paying any penalty that arises does not remove the requirement to file the outstanding accounts, so the filing still needs to be completed. If you believe there were valid reasons for the delay, an appeal may be possible, but eligibility depends on the circumstances and the applicable rules, and professional advice is worth taking.
