First Year Accounts for Limited Company in Burnham On Crouch, Prepared and Filed With Professional Support

Your company’s first set of statutory accounts is one of the earliest compliance milestones a newly incorporated limited company has to deal with, and it is often the point where directors realise how much sits behind the words first year accounts. Micro Entity Accounts works with directors of new and recently trading companies in Burnham On Crouch to prepare first year statutory accounts that properly reflect the company’s position, based on the accounting records and supporting information provided. We review bank transactions, sales, expenses and other relevant records, consider which reporting framework the company is eligible to use for the period, and prepare the accounts in the form required for delivery to Companies House where filing applies. Where appropriate, we can also assist with the company’s Corporation Tax position, but it is worth being clear from the outset that a Corporation Tax Return such as a CT600 is a separate submission made to HMRC, not part of the Companies House accounts filing. If your company is approaching its first accounting period end, or you simply want to understand what is expected, professional support can take the uncertainty out of the process.

He helped me sort out a very complicated backlog of accounts and prepared my overdue tax returns with professionalism and attention to detail. Throughout the process, he was incredibly patient, took the time to answer all of my questions, and explained everything clearly. We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

Your first filing timeline

Incorporation

Your first filing timeline depends on your company's incorporation date and accounting reference date.

Accounting reference date

Set by default to the last day of the month of incorporation, one year on.

First accounts due

Normally 21 months after incorporation at Companies House.

First CT600 due

12 months after the end of the accounting period, with tax due earlier.

What Are First Year Accounts for a Micro Company and How Do They Work?

First year accounts are the first set of annual statutory accounts a limited company prepares for its initial accounting period. They are not optional simply because the company is new. Once a company is incorporated, it has an accounting reference date, and that date shapes the first accounting period and the related filing requirements. For a newly incorporated company, the first accounting period usually runs from the date of incorporation to the first accounting reference date, although Companies House rules can allow the first period to cover slightly more than twelve months, which is why the exact dates matter. From the second period onwards the accounting period is typically a standard twelve-month cycle. The accounts themselves normally include a balance sheet, and where the applicable framework requires it, a profit and loss account, along with any notes and statements required for that framework. Directors remain responsible for ensuring the company keeps adequate accounting records and meets its statutory obligations, even where an accountant prepares or files the accounts on the company’s behalf. Some companies in Burnham On Crouch may qualify to prepare accounts under the micro-entity framework, and where that applies, the financial reporting standard used is FRS 105, which is the standard applicable to qualifying entities reporting as micro-entities. Eligibility is not automatic and is not determined by the fact that a company is newly incorporated or has low activity alone, so it needs to be assessed against the applicable requirements for the relevant accounting period. Companies with slightly larger profiles may fall within the small company regime instead. It is also important to separate first year statutory accounts from other compliance tasks. A Corporation Tax Return, such as a CT600, is submitted to HMRC and is a distinct filing with its own purpose and its own deadline, and the company’s first Corporation Tax accounting period may not always match its statutory accounts period exactly. A confirmation statement is separate again, and filing accounts does not replace it. Understanding which obligations apply, and when, is a large part of getting the first year right.

Does Your New Company Qualify as a Micro Entity?

Even in your first period, your company must meet the Companies House size criteria to file micro-entity accounts. A company generally needs to meet at least two of these three conditions.

They are the first set of annual statutory accounts a company prepares, covering its initial accounting period. That period normally starts on the date of incorporation and ends on the company's first accounting reference date, although Companies House rules can allow a first period that runs a little longer than twelve months. The accounts typically include a balance sheet and, where the applicable framework requires it, a profit and loss account, together with any supporting notes. They are then delivered to Companies House where filing is required.

The deadline depends on the company's incorporation date and its accounting reference date, so it is not the same for every company. The first accounts filing deadline is generally calculated differently from later years, and Companies House applies specific rules to first periods. Rather than guessing, it is worth confirming the exact date that applies to your company, and we can check that as part of preparing the accounts.

It varies with what the company has actually done. Typically we would ask for bank transactions and statements, any sales or income records, expense and purchase invoices, details of asset purchases, share capital information, director loan movements, and any loans or finance arrangements. Where payroll or VAT records exist, those are relevant too. A company with limited activity will naturally have a shorter list than one that has been trading and invoicing from early on.

In most cases yes, regardless of whether the company has started trading. Being newly incorporated does not remove the obligation to prepare and deliver statutory accounts where the applicable requirements say they are due. If a company has had no significant accounting transactions, its reporting position depends on its specific circumstances and the applicable rules rather than automatically being treated as dormant. If you are unsure where your company in Burnham On Crouch stands, it is best to check before the filing date passes.

No. Statutory accounts are delivered to Companies House, while a Corporation Tax Return such as a CT600 is submitted to HMRC. They serve different purposes and go to different places. The figures in the accounts are often used as a starting point when working out the company's Corporation Tax position, but filing one does not complete the other. A company may also find that its first Corporation Tax accounting period does not match its statutory accounts period exactly.

Yes, these are separate requirements. A confirmation statement is a Companies House filing that confirms the company's registered details are correct, and it is not replaced by filing accounts. A limited company may need to submit a confirmation statement and keep its Companies House information up to date alongside its accounts obligations, so both should sit on the compliance calendar.

Some companies do qualify for the micro-entity framework, but it is not automatic and it is not guaranteed simply because a company is new, small or has low turnover. Eligibility depends on meeting the applicable criteria for the relevant accounting period. Where a company qualifies and uses the micro-entity framework, FRS 105 is the financial reporting standard that applies. If it does not qualify, a different framework such as the small company regime may be appropriate, and that assessment should be made before the accounts are prepared.

Failing to deliver accounts by the applicable deadline can lead to consequences from Companies House, and those consequences are not necessarily identical in every case. Paying any penalty that arises does not remove the requirement to file the outstanding accounts, so the filing still needs to be completed. Appeals against penalties are possible in some circumstances, but whether an appeal is eligible depends on the facts and the applicable rules. If you are already overdue, the practical priority is to get the accounts prepared and filed as soon as possible.
