What Are First Year Accounts, and How Do Micro-Entity Rules Apply to Brede Companies?

First year accounts are the first set of annual statutory accounts a limited company prepares. They cover the period running from the date of incorporation to the company’s first accounting reference date, and they are not optional simply because the company is new. Incorporation brings reporting responsibilities with it, and the first accounting period is where those responsibilities begin. The first period does not always behave like later years. Instead of a neat twelve months, it can be longer or shorter depending on when the company was incorporated and what its accounting reference date is. That is why two companies incorporated in Brede a few weeks apart can end up with different first-year reporting periods. They typically include a balance sheet, along with a profit and loss account and any notes where applicable to the reporting framework the company uses. They are separate from the company's tax filings and from its confirmation statement.

There is no single date that applies to every company. The position depends on the incorporation date, the accounting reference date and the filing requirements that apply to the company at the time, and a first set of accounts is often treated differently from later years. Companies House publishes current guidance and shows the relevant dates on the company record, so it is worth checking your own company's position rather than working from a general rule.

It varies with what the company has actually done. Typically we would look at bank statements and transactions, sales or income records, purchase invoices and expense receipts, details of any assets bought, director transactions and loans, share capital information, and payroll or VAT records where those apply. If the company has had limited activity, we will work with whatever records exist and explain what is still required.

In most cases a limited company is expected to file statutory accounts for its accounting period, and that obligation does not disappear simply because the company is new. Where a company has had little or no activity, or has not yet started trading, the reporting position still depends on its circumstances and the applicable rules, and it should not be assumed to be dormant without checking. Filing first-year accounts is also not the same as submitting a Corporation Tax Return to HMRC.

The figures in the accounts often provide the starting point for the tax return, but the two have different purposes, different destinations and different deadlines. Filing one does not complete the other.

Some companies do qualify for the micro-entity framework under FRS 105, but it is not automatic. Eligibility depends on the applicable criteria for the relevant accounting period and on the company's own circumstances. Not every new company qualifies, and a quiet first year does not by itself mean a company is a micro-entity. We check the position before preparing anything.

Yes, in most cases. A confirmation statement is a separate filing from the statutory accounts, and it confirms that the information Companies House holds about the company is correct. Filing first-year accounts does not replace it, and neither obligation cancels out the other. Directors remain responsible for making sure both are dealt with.

Failing to file required accounts by the applicable deadline can lead to consequences from Companies House, and those consequences are not identical in every case. Paying any penalty that arises does not remove the requirement to file the outstanding accounts. If accounts are already overdue, the priority is usually to get accurate figures prepared and submitted, and we can look at the position with you — including whether an appeal may be possible, which depends on the circumstances and the applicable rules.
