It means the statutory filing deadline for a set of annual accounts has passed and those accounts have not yet been delivered to Companies House. Overdue is a filing position rather than a change to your company's legal status, and the company remains on the register. The deadline itself is not the same for every company — it depends on the accounting reference period and other circumstances — so it is worth confirming your dates rather than working from assumption.

The reasons vary. Some directors are unsure when their first accounts are due or have had a change to the accounting reference date. Others have been waiting on bookkeeping records, have had an interrupted year, or assumed that a quiet or dormant period means nothing needs to be filed. Whatever the reason, the obligation to deliver the accounts does not disappear because the deadline has been missed, and the earlier the position is reviewed the easier it usually is to deal with.

In most cases, yes. Accounts that have not been delivered to Companies House remain outstanding, and the requirement to prepare and deliver them generally continues until that has been done. Filing the accounts and dealing with any late-filing penalty are separate matters, so paying a penalty does not remove the need to file. Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations at Companies House, and if those accounts were not delivered by the applicable deadline they can be overdue in the same way as an actively trading company's accounts. Whether accounts are actually required, and in what form, depends on the company's circumstances, so dormant status should not be treated as an automatic exemption.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The penalty depends on the circumstances and how late the filing is, and not every company receives the same outcome. Filing the accounts does not automatically cancel or reduce any penalty, and any appeal against a penalty depends on the circumstances and the applicable Companies House rules. We can explain what has been issued and help you deal with the outstanding filing itself.

Where more than one accounting period is outstanding, each period generally needs to be addressed separately, because each set of accounts relates to its own period and its own records. Filing one set does not automatically resolve the others. We can look at the full picture, work through the periods in a sensible order and assist with preparing and filing each set of accounts that is required, subject to the information available for each period.

Some companies with overdue accounts may qualify for the micro-entity reporting framework, which uses FRS 105, the financial reporting standard applicable to qualifying entities. Not every company qualifies, and eligibility has to be considered properly rather than assumed. An overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts. We confirm the appropriate basis before preparation begins.

They are separate compliance matters. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and submitting overdue accounts to Companies House does not satisfy any outstanding HMRC obligations. A confirmation statement is also separate from annual accounts and is filed with Companies House.
