The deadline itself is not identical for every company — it is worked out from the company's accounting reference period and can be affected by factors such as whether it is a first set of accounts. The important point is that an overdue filing does not remove the obligation to file; the accounts still need to be prepared and delivered where required.

The reasons vary. Some directors are unsure when the deadline falls, particularly for a first accounting period. Others are waiting on bookkeeping records, bank statements or information from a previous accountant, or the company may have been quiet and assumed nothing needed filing. In other cases a change of accountant or a period of illness or disruption causes the filing to slip. Whatever the reason, the position is usually easier to resolve once someone reviews exactly which periods are outstanding.

In most cases, yes. A company that has not traded — or that is dormant for Companies House purposes — can still have annual accounts filing obligations, and dormancy does not by itself remove the requirement to deliver accounts.
