We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Acting Early

Company accounts become overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not yet been delivered to Companies House. That deadline is set by reference to the company’s accounting reference period and its own circumstances, so it is not identical for every company — but once it has passed, the accounts remain outstanding until they are properly prepared and filed. It is generally better to deal with the position promptly rather than leave it unaddressed. Outstanding accounts can affect how the company appears on the Companies House record, and the longer a filing remains outstanding, the more involved the position can become. Directors also need to keep the wider filing picture in view, including any confirmation statement that is due and, where applicable, Corporation Tax matters with HMRC. What is required in an individual case, and any consequences that follow, depends on the company’s circumstances, how many periods are outstanding and the applicable rules, so it is worth having the position reviewed rather than assuming the requirements are the same for every company.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

Up to 1 month late

3 to 6 months late

More than 6 months late

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Accounts are overdue when the statutory filing deadline for a specific accounting period has passed and the required accounts have not been delivered to Companies House. That date is based on the company's accounting reference period and its own circumstances, so it is not the same for every company. Once the deadline has passed, the accounts remain outstanding until they are properly prepared and filed, and the position does not resolve itself simply by being left alone.

Yes. Where accounts are required to be delivered to Companies House, they must still be prepared and filed after the deadline has passed. An overdue filing does not cancel the underlying obligation. Depending on the circumstances, the company may also have other outstanding matters to address separately, such as a confirmation statement, or Corporation Tax filings with HMRC where applicable.

Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations, and if the required accounts were not delivered by the applicable deadline, they become overdue. Dormant status does not automatically remove the need to file, so it is worth checking what has actually been received by Companies House before assuming there is nothing outstanding.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline. Whether a penalty applies, and how it is assessed, depends on the circumstances and the relevant rules at the time, so penalty amounts are not necessarily the same in every case. Filing the outstanding accounts and any penalty are separate matters: paying a penalty does not remove the requirement to file the accounts, and an accountant cannot automatically reduce, cancel or appeal a penalty on your behalf.

In many cases, yes. Where more than one accounting period is outstanding, each period generally needs to be dealt with separately, which usually means preparing and filing several sets of accounts in turn. The work involved depends on the records available and the company's circumstances, so the sensible first step is a review of what has been filed and what remains outstanding.

That is a different situation from a straightforward overdue accounts filing. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has been received, or the company has already been dissolved, the matter may require separate advice — and where a company has been dissolved, restoration procedures rather than a routine accounts submission. We can review the position and explain the available options, but we cannot guarantee that filing accounts will prevent or reverse strike-off action.

Yes. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy the company's Corporation Tax obligations. If both are outstanding, they are separate compliance matters and should be dealt with accordingly, although the prepared accounts often provide a useful starting point for the figures.

We can review your company's outstanding filing requirements, prepare the overdue statutory accounts for the relevant periods under the appropriate reporting framework, and assist with delivering them to Companies House. That may mean micro-entity accounts where the company qualifies, or another form of statutory accounts depending on its size, legal structure and accounting period. We will explain what information we need, keep you updated as the work progresses and confirm each set of accounts with you before anything is submitted. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT, and our pricing is clear and transparent with no hidden costs.
