It means the statutory deadline for delivering a set of accounts to Companies House has passed and those accounts have not been filed. It does not by itself change the company's status on the register, and it does not remove the obligation to file. It simply confirms that a required filing remains outstanding.

The reasons vary. Common ones include records not being passed to an accountant in time, a change of accountant partway through the year, a director assuming nothing needs filing because the company has been quiet, or uncertainty about which accounting period is due. Whatever the cause, the filing obligation itself does not disappear, so it is worth establishing exactly which periods remain outstanding.

Yes. Accounts that have missed the deadline generally still have to be prepared and delivered to Companies House where required. Filing late and filing nothing are treated differently, and bringing the position up to date is usually the sensible first step. The preparation requirements themselves depend on the company's size, structure and applicable reporting framework.

It can. Dormancy and overdue filing are separate matters. A company may have had no trading activity and still be required to file annual accounts, so the relevant question is whether the accounts were delivered by the applicable deadline. If they were not, the filing is overdue regardless of how little activity took place.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the amount can depend on how late the filing is and the company's circumstances. Paying a penalty is a separate matter from the filing requirement itself; it does not remove or replace the obligation to prepare and deliver the outstanding accounts. Where a penalty appeal may be possible, eligibility depends on the circumstances and the applicable Companies House rules.
