What It Means When Company Accounts Become Overdue

Company accounts generally need to be delivered to Companies House by the applicable statutory filing deadline. That deadline is calculated by reference to the company’s accounting reference date and its own circumstances, so it is not the same for every company, and in certain situations it may be extended. Once the deadline passes without the required accounts being delivered, those accounts become overdue — even if the company has stopped trading, has very little activity, or has received no income during the period. Overdue accounts are a compliance matter rather than a crisis, but leaving them unresolved rarely improves the position. Companies House records are publicly available, and outstanding filings can affect how a company is viewed by lenders, customers and other parties. Late-filing penalties may also apply where accounts are delivered after the deadline, and the longer a filing remains outstanding, the more serious the position may become, although the consequences always depend on the individual company’s circumstances. Company accounts become overdue when the applicable statutory filing deadline has passed and the required accounts have not been delivered to Companies House. That deadline is based on the company's accounting reference date and its own circumstances, so it is not identical for every company. Once it has passed, the accounts remain outstanding until they are properly prepared and filed, whether or not the company traded during the period.

In most cases, yes. Accounts that have passed their deadline still need to be prepared and delivered to Companies House where a filing obligation applies. Being overdue does not remove the requirement to file — it simply means the deadline has passed. We can review the outstanding periods, confirm what still needs to be delivered, and prepare the accounts for your review and authorisation before anything is submitted.

Yes. Dormancy relates to a company's trading activity, while overdue filing relates to whether the required accounts were delivered to Companies House by the applicable deadline. A dormant company may still have annual accounts filing obligations, so dormant status does not automatically mean the accounts are exempt. Where a company has not traded, the route to filing may be more straightforward depending on the circumstances, but the filing obligation itself still has to be considered.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the level of any penalty depends on how late the filing is and the company's circumstances. Penalties and filing obligations are separate matters: paying a penalty does not remove the requirement to prepare and file the outstanding accounts, and those accounts must still be delivered. If you believe a penalty has been issued incorrectly, eligibility for an appeal depends on the circumstances and the applicable Companies House rules, and we can talk this through with you.

Some companies may qualify for the micro-entity reporting framework, and where that is the case, overdue accounts for a qualifying period may be prepared on that basis, including under FRS 105, which is the financial reporting standard for qualifying entities using the micro-entity framework. Not every small or micro company qualifies, however, and the appropriate framework depends on the company's legal structure, accounting period, size and eligibility. We check this as part of preparing the accounts rather than assuming which framework applies.

Where several periods are outstanding, each one generally needs to be prepared and delivered separately, and filing one set of accounts does not automatically resolve the others. The order in which they are dealt with can depend on the periods involved and the information available. We can review the full position, work through the outstanding periods in a sensible sequence, and explain what is needed for each one.

Yes. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable.
