We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Is Worth Acting Early

Company accounts become overdue when the statutory filing deadline for a particular accounting period has passed and the required accounts have not been delivered to Companies House. The deadline is not identical for every company — it depends on factors such as the company’s accounting reference period, whether it is a first set of accounts and the applicable filing requirements — so a director in Wootton working from an assumed date, rather than checking the company’s own records and Companies House information, can find that the deadline has already slipped past. Once accounts are overdue, the obligation to prepare and file them generally remains, and bringing them up to date sooner rather than later usually makes it easier to deal with any late-filing penalty, confirmation statement or Corporation Tax matter that may also need attention. Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the longer accounts are left outstanding, the more serious the position can become. Paying a penalty does not remove the requirement to file the outstanding accounts, and filing the accounts does not of itself cancel a penalty — these are separate matters. The same distinction applies between Companies House and HMRC: statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable, and a confirmation statement may also be due to Companies House independently of the annual accounts. Dormant and non-trading companies are not automatically exempt either; where accounts are required, dormancy by itself does not remove the filing obligation. If a company has received a strike-off notice, or has already been dissolved, that position may call for separate restoration or legal advice rather than being treated as an ordinary overdue filing.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts are overdue when the filing deadline for a particular accounting period has passed and the required accounts have not yet been delivered to Companies House. It does not place the company in a special status — it simply means the deadline has been missed and the filing obligation remains outstanding. The applicable deadline depends on factors such as the company's accounting reference period and its circumstances, so it is worth checking the Companies House record and the company's own files rather than relying on an assumed date.

Yes. Dormancy and overdue filing are separate issues. A dormant company may still have an obligation to file annual accounts with Companies House, and if those accounts were not delivered by the applicable deadline, they become overdue in the usual way. Being dormant or not trading does not by itself remove the filing requirement, so dormant companies in Wootton should check their filing position rather than assume nothing is due.

In most cases, yes. Missing the deadline does not remove the requirement to prepare and deliver the accounts; it means they are outstanding and still need to be dealt with, subject to the applicable requirements. Depending on the circumstances, a late-filing penalty may also apply. Where a company believes its position has changed, that is a separate question and may need advice specific to its own situation.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the position can become more serious the longer the accounts remain outstanding. How a penalty is calculated and how much it may be depends on the company's circumstances and the period involved, so we do not quote figures without reviewing the specific case. Filing late does not change the underlying obligation to deliver the accounts, and the penalty is handled separately from the filing itself.

Yes. Paying a penalty and filing the outstanding accounts are two separate matters. Settling a penalty does not discharge the company's obligation to prepare and deliver the accounts to Companies House. Equally, an accountant cannot automatically reduce, remove or cancel a Companies House penalty — whether an appeal is possible depends on the circumstances and the applicable Companies House rules, and we can review the position with you where relevant.

Where several accounting periods are outstanding, each period generally needs to be addressed separately, with its own set of statutory accounts prepared and filed where required. Filing one period does not automatically clear the others. The order in which the periods are dealt with, and the information needed for each, will depend on the company's records and circumstances, so it usually helps to look at the full picture before work begins.

Possibly, depending on the circumstances. Some companies with overdue accounts may qualify for the micro-entity reporting framework, but not every small or overdue company does — eligibility depends on the company's legal structure, accounting period, size and the applicable reporting requirements. FRS 105 is the financial reporting standard applicable to qualifying entities using the micro-entity accounting framework; where a company does not qualify, other forms of statutory accounts may be appropriate instead. We confirm the correct framework before preparing anything.

Overdue accounts do not automatically mean a company will be dissolved, and there is no single outcome that applies to every case. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. If a strike-off notice has already been issued, or the company has been dissolved, the position may require separate restoration or legal advice rather than a routine overdue filing. We can explain what the overdue filing itself involves, but we do not guarantee that filing will prevent or reverse strike-off action.
