That deadline depends on the company's accounting reference period and its own circumstances rather than being a single date that applies to every company. Once the deadline has passed, the accounts remain outstanding until they are properly prepared and delivered as required.

There are several common reasons. Bookkeeping may have fallen behind, a director may have been unsure which reporting framework applies, the company may have changed accountant, or there may have been an assumption that nothing needed to be filed because the company was quiet. Sometimes the deadline was simply missed. In most cases the underlying position can be untangled once the records and the company's filing history have been reviewed.

In most cases the obligation does not disappear because the deadline has passed. Where a company remains registered and statutory accounts are required, those accounts generally still need to be prepared and delivered to Companies House. The appropriate form of accounts — which may be micro-entity accounts, small-company accounts or another applicable format, depending on the circumstances — should be confirmed before preparation begins.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have annual accounts filing obligations at Companies House, and if the required accounts were not delivered by the applicable deadline, they can become overdue in the same way as any other company's. Whether a company meets the conditions to file dormant company accounts depends on its individual circumstances.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. Whether a penalty applies, and how it is calculated, depends on factors such as the length of the delay, the company's filing history and the rules in force at the time. Penalty amounts are set by Companies House under its own framework, and an accountant cannot determine or promise the outcome in advance.

No. Paying a late-filing penalty and filing the outstanding accounts are two separate matters. The penalty relates to the delay in delivery, while the filing obligation relates to the accounts themselves. Settling a penalty does not cancel the need to prepare and deliver the required statutory accounts to Companies House.

Each outstanding period generally needs to be addressed on its own terms, which usually means preparing a separate set of accounts for every accounting period that has not been filed and working through them in order. Filing one period does not automatically resolve the others. Companies in this position may also have separate confirmation statement and Corporation Tax matters, including CT600 returns submitted to HMRC, which are dealt with differently from statutory accounts.

Overdue accounts do not, by themselves, mean a company is suspended or removed from the register. However, Companies House may take action against companies that do not meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action.
