The deadline is worked out from the company's accounting reference period and its individual circumstances, so it can differ from one company to another. Once that date has passed, the accounts remain outstanding until they are properly prepared and filed.

Yes, it can. Dormant status affects what a company reports, not whether it has to report, and dormant companies can still have Companies House filing obligations. A dormant company that has not delivered its annual accounts by the applicable deadline will usually have overdue accounts showing on its Companies House record. Dormancy and late filing are separate issues, so it is sensible to check the company's filing history rather than assume nothing needs to be done.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the position depends on how late the accounts are and the company's circumstances. The accounts are still required regardless of any penalty being charged. The longer accounts remain outstanding, the more serious the consequences may become, and persistent non-compliance can increase the risk of further action against the company, which may include strike-off proceedings in some cases. If a strike-off notice has already been received, or the company has been dissolved, that situation may need separate restoration or legal advice rather than being treated as an ordinary late filing.

Yes. A penalty and the requirement to file the outstanding accounts are separate matters. Paying a penalty does not discharge the obligation to prepare and deliver those accounts, and it does not automatically remove or cancel any penalty already charged. Where a penalty has been issued, whether an appeal may be possible depends on the circumstances and the applicable Companies House rules, and no particular outcome can be guaranteed.

Each outstanding accounting period carries its own filing obligation, so where several sets of accounts are outstanding, each one may need to be prepared and delivered separately. Filing one set does not automatically clear the others from the company's Companies House record. Some companies with overdue accounts may qualify for the micro-entity framework, in which case FRS 105, the financial reporting standard for qualifying micro-entities, may be the applicable basis of preparation. Where a company does not meet the micro-entity criteria, small-company accounts or another applicable form of statutory accounts may be required instead. We confirm the appropriate basis before preparation begins.

They are separate compliance matters. Statutory accounts are delivered to Companies House where required, a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement is filed at Companies House independently of the annual accounts. Delivering overdue accounts does not automatically satisfy outstanding Corporation Tax obligations or a confirmation statement, so it is worth reviewing the wider compliance position at the same time.
