Once the deadline passes without the required accounts being delivered, those accounts are treated as overdue, and the filing obligation does not disappear simply because time has moved on. Directors in Wiltshire often find accounts become overdue for practical reasons — a change of accountant, incomplete bookkeeping records, a busy trading period, or an assumption that nothing needs to be filed because the company has not traded. Company accounts become overdue when the applicable filing deadline has passed and the required accounts have not been delivered to Companies House. It does not mean the obligation has gone away — it means the filing is outstanding. The deadline itself depends on the company's accounting reference period and circumstances, so the position varies from one company to another. If you are unsure whether anything remains due, we can review the company's Companies House records with you and confirm what still needs attention.

Yes. Where accounts were required to be delivered to Companies House and remain outstanding, they still need to be prepared and filed. Filing after the deadline does not remove the underlying requirement. Where more than one accounting period is outstanding, each period generally has to be addressed on its own terms, as filing one set of accounts does not automatically clear the others. The records and financial information needed will depend on the periods being prepared.

It can. Dormancy and overdue filing are separate issues. A dormant company may still have Companies House filing obligations, including annual accounts, and where those accounts were not delivered by the applicable deadline they can become overdue. Being dormant does not automatically exempt a company from filing, and it is one of the more common reasons a company falls behind without anyone realising it.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline. The penalty depends on the circumstances and how late the accounts are, so no assumption should be made that every company faces the same outcome. Where accounts remain outstanding for longer, the position can become more serious. Rather than waiting to see what happens, it is usually better to get the outstanding accounts prepared and delivered.

No. The penalty and the filing requirement are separate matters. A penalty may be payable because accounts were delivered late, but the accounts themselves still have to be prepared and delivered to Companies House where required. Equally, an accountant cannot automatically reduce, cancel or remove a Companies House penalty. Any appeal depends on the circumstances and the applicable Companies House rules, and eligibility is not guaranteed.

Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. It does not follow that every company with overdue accounts will be dissolved, and filing outstanding accounts should not be treated as a guarantee that strike-off action will be prevented or reversed. If the company has received a strike-off notice, or has already been dissolved, the matter may need separate restoration or legal advice rather than being handled as an ordinary overdue accounts filing.

They are separate compliance matters. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable, and a confirmation statement is submitted to Companies House separately from the annual accounts. Filing overdue accounts does not automatically satisfy HMRC obligations or replace a confirmation statement. Where several filings are outstanding, we can help you identify what applies to your company and deal with each item in turn.

Some companies may qualify for the micro-entity reporting framework, and where a company qualifies, FRS 105 is the financial reporting standard that applies to that framework. Not every company with overdue accounts will qualify, however, and eligibility depends on the company's size, legal structure, accounting period and other circumstances. A company that was originally required to prepare small-company accounts or another applicable form of statutory accounts may need to continue on that basis, so we confirm the correct framework before preparation begins.
