Company accounts become overdue when the statutory filing deadline for a set of annual accounts has passed and those accounts have not been delivered to Companies House. That deadline is not identical for every company, as it depends on the company's accounting reference period and its particular circumstances, so the first step is usually to check the company's filing history and establish which periods are still outstanding. Being overdue does not remove the requirement to file; it simply means an obligation that should already have been met is still waiting to be completed.

In many cases, yes. Dormant status and overdue filing are separate issues. A dormant company may still be required to deliver annual accounts to Companies House, and if that filing was missed, the accounts are overdue in the same way as any other company's. Dormancy does not automatically exempt a company from its filing obligations, and the exact position depends on the company's circumstances and the accounting period in question.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. Whether a penalty applies, and how it is calculated, depends on the relevant rules and how late the accounts are. Liability for a penalty is a separate matter from the requirement to file the accounts themselves — the accounts still have to be prepared and delivered, and any penalty is dealt with alongside that process rather than instead of it.

Yes. Where several accounting periods are outstanding, each period normally needs to be prepared and filed separately, and completing one set of accounts does not automatically resolve the others. The information required for each period may differ, particularly if the company's activity changed during that time, so it helps to review the full picture before starting. We can look at the outstanding periods together and work through them in a sensible order.

Possibly, where the company qualifies. Some smaller companies may be eligible for the micro-entity reporting framework, and FRS 105 is the financial reporting standard that applies to qualifying entities using that framework. Eligibility depends on the company's legal structure, size and accounting period, and it cannot be assumed simply because a business is small. Where the company does not qualify, another applicable form of statutory accounts would be prepared instead.

They are separate obligations. Statutory accounts are delivered to Companies House, whereas a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing again. Filing overdue accounts does not automatically satisfy any outstanding Corporation Tax requirements or replace a confirmation statement, so it is worth checking each obligation individually and addressing them where they apply.

It depends on the company and the period being prepared, but typically we would ask for bookkeeping records, bank statements, invoices, expense records, details of any assets or liabilities, previous accounts where available, and current company details. Where records are incomplete, we can discuss what can reasonably be reconstructed for the period. The aim is to produce accounts that properly reflect the company's financial position for the relevant accounting period.

That situation needs care. Companies House may take action against companies that persistently fail to meet their filing obligations, and a strike-off notice indicates a more serious stage of that process. Filing accounts does not guarantee that strike-off action will be stopped or reversed, and where a company has already been dissolved, restoration is a separate matter that may require legal advice.
