We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue, and Why It Matters

A company’s annual accounts must normally be delivered to Companies House by the applicable statutory deadline, which is based on the company’s accounting reference period and its own filing history. Once that date passes and the required accounts have not been delivered, the accounts are treated as overdue — not because the company has done anything unusual, but simply because the filing obligation remains outstanding. Common reasons include a change of accountant part-way through the year, incomplete bookkeeping records, uncertainty about which reporting framework applies, or a director assuming that a quiet or dormant year means nothing needs to be sent. That assumption is where problems often start, because dormant companies can also have overdue accounts if their filing obligations were not met. The position is never identical for every company: the accounts due depend on the entity’s legal structure, its accounting period, its size and the reporting framework it falls under, and the wider consequences depend on how long the accounts have been outstanding and what else remains unfiled. Bringing overdue company accounts up to date usually begins with establishing exactly which periods are outstanding, what information is available and what still needs to be delivered to Companies House, so that each outstanding period can be addressed separately and properly.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the statutory deadline for delivering a set of annual accounts to Companies House has passed and those accounts remain outstanding. Being overdue is a filing status rather than a change to your company's legal status, and it does not by itself mean the company has been struck off or suspended. The deadline that applies depends on the company's accounting reference period and its filing history, so the first practical step is usually confirming exactly which period, or periods, have not yet been delivered.

Yes. Passing the deadline does not remove the obligation to prepare and deliver the accounts. Where statutory accounts are required, they should still be prepared in the applicable format and filed at Companies House, even if the company has not traded, has changed accountant or intends to close in future. Until the outstanding accounts are dealt with, the filing requirement remains open, and it is generally better to bring them up to date sooner rather than later.

It can. Dormancy and overdue filing are separate matters. A dormant company may still be required to file annual accounts with Companies House, and if that filing was not made by the applicable deadline, those accounts are overdue. Assuming that dormant status removes the filing requirement is a common misunderstanding, so it is worth checking the company's Companies House record to confirm what has actually been delivered.

Companies House can apply a late-filing penalty where accounts are delivered after the applicable deadline, and the level of that penalty depends on the circumstances and how late the filing is. Penalty amounts are set by Companies House rather than by any accountant, so we do not quote figures in advance. We can explain how the penalty process works in your situation and help you understand what to expect.

No. Paying a penalty and filing the outstanding accounts are two separate things. Settling any penalty does not satisfy the underlying filing obligation, and the accounts must still be prepared and delivered to Companies House where required. Equally, filing the accounts does not automatically cancel or reduce a penalty that has already been applied, so the two matters generally need to be dealt with on their own terms.

Where several periods are outstanding, each one may need its own set of accounts prepared and filed, because the periods are treated as separate filing obligations. The volume of work depends on how many periods are involved, how complete the underlying records are and whether the company's circumstances changed between them. We would normally review the position first, then work through the outstanding periods in a sensible order so nothing is overlooked.

Possibly, if the company qualifies for the micro-entity framework for the period in question. Qualification depends on the company's size and eligibility, and FRS 105 is the financial reporting standard that applies to entities using the micro-entity accounting framework. A small company is not automatically a micro-entity, so the appropriate basis — micro-entity accounts, small-company accounts or another applicable form of statutory accounts — needs to be confirmed from the company's figures and circumstances.

We prepare statutory accounts for outstanding periods, review what has and has not been delivered to Companies House, and assist with filing the required documents once you have reviewed and approved them. Our accountants are fully qualified and regulated by ICAEW, ACCA and AAT. Where a company also has separate obligations, such as confirmation statements or Corporation Tax matters including CT600 returns, we will explain how those sit alongside the accounts so you have a clear picture of what remains to be done.
