The deadline is not the same for every company; it depends on matters such as the accounting reference period and the company's individual circumstances. Once that date has passed without delivery, the accounts remain outstanding until they are prepared and filed. Being overdue is a filing position rather than a change in the company's legal status, and it does not by itself mean the company has been dissolved or removed from the register.

Yes, in most cases the obligation to prepare and deliver statutory accounts continues, and the fact that the deadline has passed does not remove it. The accounts still need to be prepared, reviewed and approved by the director, then delivered to Companies House where required. Depending on the circumstances, the company may also need to deal with other outstanding matters, such as a confirmation statement or Corporation Tax obligations, which are separate from the accounts filing itself. It is worth reviewing the company's full filing position rather than dealing with one item in isolation.

A dormant company can have overdue accounts. Dormancy describes the company's activity during a period, whereas overdue filing relates to whether the required accounts were delivered to Companies House by the applicable deadline. Dormant status does not automatically remove the annual accounts filing obligation, although what has to be filed can depend on the company's circumstances. If a dormant company has not filed for one or more periods, the position should be reviewed and the outstanding accounts addressed where required.

When accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty. Penalty amounts are not the same in every case and are not something we can calculate in advance without reviewing the specific filing history. Paying a penalty and filing the outstanding accounts are separate matters: settling a penalty does not remove the requirement to prepare and deliver the accounts. Whether an appeal against a penalty may be possible depends on the circumstances and the applicable Companies House rules.

Equally, an accountant cannot automatically reduce, remove or cancel a Companies House penalty, and any appeal would depend on the circumstances and the applicable rules. The practical priority is usually to establish exactly which periods are outstanding and to bring the records and filings up to date.

Where several accounting periods are outstanding, each one generally has to be addressed separately, and more than one set of accounts may need to be prepared and filed. The work involved depends on the quality of the available records, the number of periods affected and whether the company was trading, dormant or somewhere in between during each period. Filing one set of accounts does not automatically resolve the other outstanding periods, so it helps to map out the full position first and then work through it in a sensible order.

An overdue filing does not automatically suspend, dissolve or remove a company from the Companies House register. However, Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Filing outstanding accounts does not guarantee that any such action will be prevented or reversed. If a strike-off notice has already been received, or the company has been dissolved, the situation may require separate restoration or legal advice rather than being treated as an ordinary overdue filing.
