A limited company generally has to prepare statutory accounts for its accounting reference period and deliver them to Companies House by the applicable filing deadline. That deadline is not the same for every company — it depends on factors such as the accounting reference date, whether it is the company’s first set of accounts, and the company’s individual circumstances. When the relevant deadline passes and the required accounts have not been delivered, those accounts are treated as overdue, whether or not the company has been actively trading. Yes. Dormancy and overdue filing are separate issues. A dormant company can still have annual accounts filing obligations, and it can fall behind if those accounts were not delivered by the applicable deadline. Having no income or no activity in the period does not by itself remove the requirement to file, so it is worth confirming what remains outstanding on the Companies House record.
