We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Overdue Company Accounts Mean — and Why It Pays to Act Early

Company accounts, often called annual accounts or statutory accounts, generally have to be delivered to Companies House by the applicable statutory deadline. That deadline is not identical for every company: it depends on the company’s accounting reference period, whether the filing is a first set of accounts or a later period, and other factors specific to the company’s circumstances. Once the deadline passes and the required accounts have not been delivered, the accounts become overdue and remain an outstanding filing obligation on the company’s Companies House record. For directors in Wednesbury, the practical question is usually not whether the accounts should be filed, but how to bring them up to date with as little disruption as possible — which is where professional support with Overdue Company Accounts Filing can help. Overdue accounts do not go away because a company has stopped trading, had a quiet year or considers itself dormant; where an annual accounts filing obligation applies, it still applies. Leaving the position unresolved also tends to let separate matters build up, such as confirmation statements or Corporation Tax obligations, which are handled through different routes and by different bodies. Where more than one accounting period is outstanding, each period may need to be addressed separately, and the appropriate reporting framework — micro-entity accounts where the company qualifies, small-company accounts, or another applicable form of statutory accounts — has to be considered for each period on its own facts. We can review your circumstances, set out what remains outstanding, and assist with preparing and filing the required documents.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

It means the accounts that were required to be delivered to Companies House have not been delivered by the applicable statutory deadline. The deadline is not the same for every company — it depends on the company's accounting reference period, whether it is a first set of accounts or a later period, and the company's individual circumstances. Once that deadline has passed with nothing filed, the accounts are overdue, and they stay as an outstanding obligation on the company's Companies House record until they are prepared, approved where required, and delivered.

The reasons vary widely. A director may have assumed an accountant was handling the filing, the bookkeeping may have fallen behind, there may have been illness or a change of personnel, or there may simply have been uncertainty about which reporting framework applied. In some cases the company stopped trading and the directors assumed nothing further was needed. None of these situations changes the underlying filing position, so it is worth checking the company's own record at Companies House rather than relying on an assumption about the deadline.

Yes, where the accounts were required to be delivered, the obligation does not disappear once the deadline has passed. Overdue statutory accounts still need to be prepared and delivered to Companies House. Depending on the circumstances, this may mean dealing with more than one outstanding accounting period. Filing the accounts also does not automatically resolve other separate obligations the company may have, such as confirmation statements or Corporation Tax matters.

Yes. Dormancy and overdue filing are separate issues. A dormant company may have simpler accounts to prepare and may file under different arrangements, but dormancy does not by itself remove an annual accounts filing obligation where one applies. If the required accounts were not delivered by the applicable deadline, a dormant company can have overdue accounts in exactly the same way as a trading company. What matters is the deadline that applied and whether the documents were actually delivered.

Where accounts are delivered late, Companies House can impose a late-filing penalty, and the level of that penalty generally increases the longer the accounts remain outstanding. Not every company faces the same penalty, and whether an appeal is possible depends on the circumstances and the applicable Companies House rules. Persistent non-compliance can also increase the risk of further action by Companies House, which in some cases may include compulsory strike-off proceedings — although this is not automatic for every company with overdue accounts. If a strike-off notice has already been received, or the company has been dissolved, that situation may need separate restoration or legal advice rather than being treated as a routine overdue filing.

No. Paying a penalty and filing the accounts are two separate matters. Settling a penalty does not remove the requirement to prepare and deliver the outstanding accounts to Companies House, and delivering the accounts does not by itself cancel any penalty that has already been applied. We can review your position and explain what remains outstanding, but we cannot promise that a penalty will be reduced, removed or successfully appealed — that depends on the circumstances and the applicable rules.

Where several periods are behind, each one may need to be addressed separately, which means several sets of accounts may need to be prepared and delivered. The framework used can also differ from period to period. A company that qualified for micro-entity accounts under FRS 105, the financial reporting standard for qualifying entities using the micro-entity framework, in one period may or may not qualify in another, depending on its size and circumstances at the time. Small-company accounts or another applicable form of statutory accounts may be more appropriate for a particular period, so eligibility is considered on a period-by-period basis.

We start by reviewing what is actually outstanding at Companies House and identifying which accounting periods need attention. From there we can prepare the overdue accounts using the records available to us, explain what information is still needed — such as bookkeeping records, bank statements, invoices, expense records, previous accounts and company details — and support the filing of the accounts with Companies House. Everything that requires your confirmation or approval is set out clearly before submission. We can also flag where separate matters, such as a confirmation statement or a Corporation Tax Return (CT600) where applicable, still need to be dealt with. Get in touch and we will look at your company's position with you.
