It means the statutory deadline for delivering your accounts to Companies House has passed and the required accounts have not yet been filed. The company itself is still on the Companies House register, but the filing obligation remains outstanding until the accounts are prepared and delivered. Because filing deadlines are based on your company's accounting reference period and its circumstances, the position should be checked rather than assumed.

The accounts generally still need to be prepared and delivered to Companies House where required, even if the company has been dormant, has not traded or has no income for the period. Dormancy and overdue filing are separate issues, and a dormant company can still have overdue accounts if it failed to file on time. Ignoring the position does not remove the obligation.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the penalty position depends on factors such as how late the filing is and the company's filing history. Paying a penalty does not remove the requirement to file the outstanding accounts, and the two matters are dealt with separately. Where you believe a penalty should not apply, eligibility for an appeal depends on the circumstances and the applicable Companies House rules.

Each outstanding period generally needs to be prepared and filed separately, so several sets of accounts may be required. Filing one set will not automatically resolve the other periods. We can review which accounting periods remain outstanding for your company and work through them in a logical order, making sure the figures and disclosures for each period are consistent with the records available.

Not every company with overdue accounts is dissolved automatically. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Filing the outstanding accounts does not guarantee that any strike-off process will be stopped or reversed. If your company has already received a strike-off notice, or has been dissolved, the position may need separate restoration steps or legal advice rather than being treated as an ordinary overdue filing.

Some companies with overdue accounts may qualify to prepare micro-entity accounts under FRS 105, but this is not automatic and it should not be assumed simply because the business is small. Eligibility depends on the company's size, legal structure, accounting period and the applicable reporting requirements. We confirm the appropriate framework before preparing the overdue accounts, and if the company does not qualify we prepare accounts under the relevant alternative framework.

These are separate compliance matters. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable, and filing overdue accounts with Companies House does not automatically satisfy any HMRC obligation. A confirmation statement is also submitted separately to Companies House and does not replace annual accounts. Where several obligations are outstanding, we can help you identify what needs attention and in what order.
