The due date depends on the company's accounting reference period and its own circumstances, so it is not the same for every company. If you are unsure where you stand, it is worth establishing which accounting periods remain unfiled rather than assuming your position matches another company's. Statutory accounts filed with Companies House are also separate from a CT600 Corporation Tax Return, which is submitted to HMRC where applicable, and separate from the confirmation statement, which is its own Companies House filing.

There is rarely a single reason. In our experience, accounts fall behind because records were incomplete, because a director was unaware of the deadline, because there was a change of accountant, because trading paused and the filing obligation was overlooked, or because a director assumed that a quiet or dormant period meant nothing needed to be filed. None of these situations is unusual, and the practical answer is usually the same: work out which periods are outstanding, prepare the accounts that are required, and get them delivered to Companies House.

Yes. The fact that a deadline has passed does not remove the requirement to prepare and deliver the accounts where they are due. Each outstanding accounting period may need to be addressed separately, which means more than one set of accounts may need to be prepared and filed. Where documents require your review, confirmation or authorisation before submission, we will explain that clearly as part of the process so you know what is being filed and when.

Yes, it can. Dormancy and overdue filing are two separate issues. A dormant company may still have annual accounts filing obligations, and dormancy does not automatically exempt a company from delivering accounts to Companies House. If a dormant company did not file the required accounts by the applicable deadline, those accounts can be overdue in exactly the same way as a trading company's. We can review the position and confirm what is actually required for the periods in question.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline, and the level of any penalty depends on the circumstances rather than being identical for every company. Companies House may also take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Filing overdue accounts does not guarantee that strike-off action will be prevented or reversed. If your company has already received a strike-off notice, or has been dissolved, the situation may need separate restoration or legal advice rather than being treated as an ordinary late filing.

No. The penalty and the filing requirement are separate matters. Paying a penalty does not cancel the requirement to prepare and deliver the outstanding accounts to Companies House, and the accounts still need to be filed. Equally, no accountant can automatically reduce, remove or cancel a Companies House penalty, and any appeal depends on the circumstances and the applicable Companies House rules.
