Company accounts become overdue when the filing deadline that applies to a set of accounts has passed and those accounts have not yet been delivered to Companies House. That deadline is not the same for every company — it depends on factors such as the accounting reference period, whether it is a first set of accounts and the company’s own circumstances. Once the date has passed, the accounts remain outstanding until they are properly prepared and filed. Company accounts are overdue when the filing deadline that applies to that set of accounts has passed and the accounts have not been delivered to Companies House. There is no single deadline that applies to every company — it depends on the accounting reference period and the company's circumstances. For a limited company, the position is usually visible on the Companies House register, where the filing history and next accounts due date are shown. If the register indicates that accounts are outstanding, they will generally still need to be prepared and filed.

Dormancy and overdue filing are separate matters. A dormant company can still have an annual accounts filing obligation, and where those accounts were not delivered by the applicable deadline, they can become overdue. A company does not become exempt from filing simply because it has not traded or has had no income during the period. Where a company qualifies as dormant for Companies House purposes, the accounts prepared may take a different form, but the filing requirement still needs to be considered and met where applicable.

Where accounts are delivered after the applicable deadline, Companies House can impose a late-filing penalty. The position depends on the circumstances of the filing and how late the accounts are, and the penalty is a separate matter from the requirement to file the accounts themselves. Filing late also means the accounts appear on the public record as having been delivered after the due date, which is something most directors want to resolve as soon as they reasonably can.

Companies House can impose a late-filing penalty where accounts are delivered after the deadline, and the amount depends on the circumstances. Paying any penalty does not remove the requirement to file the outstanding accounts — the two matters are separate. Where a penalty has been issued, it may be possible to appeal, but eligibility depends on the circumstances and the applicable Companies House rules. We can explain the position and assist with preparing and filing the accounts, but we cannot guarantee that a penalty will be reduced, cancelled or removed.

If several accounting periods are outstanding, each set of accounts generally needs to be prepared and filed separately, and filing one period does not automatically resolve the others. The order in which the periods are dealt with can matter, and the amount of work involved depends on what records are available for each one. We can review which periods remain outstanding and set out a sensible approach for bringing them all up to date.

A strike-off notice indicates that Companies House is taking action because of non-compliance, and this is not the same as an ordinary overdue filing. If your company has received a warning, it is important to take advice promptly, as the position can be time-sensitive. Filing overdue accounts does not guarantee that strike-off action will be halted or reversed. If a company has already been dissolved, restoring it to the register is a separate process and specialist or legal advice may be required.

This depends on the company and on the accounting period being prepared, so not every company will need to provide exactly the same documents. Information commonly required includes bookkeeping records, bank statements, invoices, expense records, details of assets and liabilities, previous accounts and the company's registration details. Where records for a period are incomplete, we will discuss what can be reconstructed and what further information is needed before the accounts can be finalised.

Where a company meets the eligibility criteria, it may be able to prepare its accounts under the micro-entity framework, with FRS 105 as the financial reporting standard applicable to qualifying entities using that framework. This is not automatic, and it is not simply a matter of the business being small — the company's legal structure, accounting period, size and circumstances all need to be considered. It is also worth remembering that statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC, and a confirmation statement is a separate Companies House filing. Delivering overdue accounts does not automatically satisfy those other obligations.
