We worked with a few different accountants before finally settling with Accotax, and we’re really glad we did. Their team is great. Abdul is responsive and easy to reach whenever I have a question, which makes a big difference. They take the time to understand how our business works and what our needs are. They are very knowledgeable, and when they don’t have the answer straight away, they take the time to look into it and get back to us quickly. Anum, who looks after our account on a day-to-day basis, including reconciling invoices and preparing the annual accounts, is amazing. She is professional, efficient, and follows the processes we have put in place together. She's also very quickin getting back to us whenever needed. We’re very happy to work with her and hope to continue doing so for as long as possible. Overall, Accotax has made our accounting experience much smoother and easier. We see them as a long-term partner as our business continues to grow. I would 100% recommend them.

I have really impressed to date with all dealings with Accotax highly enough. From day one, they've made what can often be a complicated and stressful part of running a business feel straightforward and hassle-free. A special mention has to go to Anum, who has been friendly, incredibly responsive, and genuinely cares about providing the best possible service. No question is ever too much trouble, and she consistently goes above and beyond to make sure everything is dealt with efficiently. I wouldn't hesitate to recommend you to anyone looking for an accountant they can genuinely trust.

─── OVERDUE ACCOUNTS EXPLAINED

What Makes Company Accounts Overdue and Why It Is Worth Acting Quickly

Company accounts become overdue when the applicable statutory filing deadline passes and the required accounts have not been delivered to Companies House. That deadline is not identical for every company. It depends on factors such as the company’s accounting reference period, whether it is the first set of accounts being filed, and the company’s own circumstances. Once the relevant date has passed, the accounts remain outstanding until they are properly prepared and filed, and the obligation does not fall away simply because the company has stopped trading, has no income for the period, or is dormant. For directors in Wainstalls, the practical first step is usually to establish exactly which accounting periods are outstanding, what records are available, and what still needs to be prepared. Depending on the circumstances, Companies House may apply a late-filing penalty when accounts are delivered after the deadline, and a filing that stays outstanding for longer can develop into a more involved compliance position. Bringing the records up to date normally means preparing statutory accounts for each outstanding period, having them reviewed and approved by the director, and delivering them to Companies House where required. The appropriate form of accounts — micro-entity accounts, small-company accounts or another applicable reporting framework — depends on the company’s size, structure and accounting period, so eligibility should be confirmed rather than assumed.

─── Why Choose Us

How Much Are Companies House Late Filing Penalties?

Penalties escalate the longer your accounts stay unfiled, and they double if your company also filed late in the previous financial year. Acting now is the single most effective way to cap what you owe.

HMRC applies separate penalties for late Corporation Tax Returns, starting at £100 per return plus interest on unpaid tax. Companies House late-filing penalties can change, so check the current GOV.UK guidance for the latest penalty rules.

Company accounts become overdue when the statutory filing deadline for a set of accounts has passed and those accounts have not been delivered to Companies House. The deadline depends on the company's accounting reference period and its individual circumstances, so it is not the same date for every company. Being overdue is a filing position: the accounts remain outstanding, and the company's obligations in relation to them do not disappear on their own.

Yes. Outstanding accounts can still be prepared and delivered to Companies House, even where the deadline has passed. The accounts need to be properly prepared, reviewed and approved by the director before submission. Depending on the circumstances, a late-filing penalty may apply when accounts are delivered after the deadline, and filing the accounts does not automatically resolve other outstanding obligations the company may have.

Yes. Dormancy and overdue filing are separate matters. A dormant company can still have Companies House filing obligations, and if the required accounts were not delivered by the applicable deadline, those accounts can be overdue. Dormant status does not by itself remove the requirement to file annual accounts, so the relevant deadline and whether accounts have been delivered should always be checked.

Where accounts are delivered after the applicable deadline, Companies House may impose a late-filing penalty, subject to the rules in force at the time. Penalty amounts are not the same in every case and depend on the circumstances, including how late the filing is. Prolonged non-compliance can also lead to further action by Companies House, and in serious or repeated cases that may increase the risk of strike-off procedures, although this is not automatic.

No. The penalty and the filing obligation are separate matters. Paying a late-filing penalty does not remove the requirement to prepare and deliver the outstanding accounts, and the accounts remain outstanding until they are actually filed. Where a penalty has been issued, it may be possible to appeal in certain circumstances, but eligibility depends on the applicable Companies House rules and the facts of the case.

Where several periods are outstanding, each set of accounts generally needs to be prepared and delivered separately, and filing one period does not automatically clear the others. The work involved depends on the records available for each period and the company's circumstances. It is usually sensible to review the full position first, then work through the outstanding periods in order with clear confirmation of what has been filed and what remains.

No. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable. A confirmation statement is a separate Companies House filing again. If a company has overdue accounts alongside outstanding Corporation Tax returns or an overdue confirmation statement, these are distinct compliance matters and may need to be addressed individually.

Some companies may qualify for the micro-entity reporting framework, and where they do, micro-entity accounts under FRS 105 may be appropriate for the overdue period. Qualification is not automatic and depends on the company's size, legal structure and accounting period, so eligibility should be assessed before the reporting framework is decided. An overdue company may originally have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts.
