Company accounts generally have to be delivered to Companies House by the applicable statutory deadline, which is set by reference to the company’s accounting reference date and its own circumstances. The deadline itself is not the same for every company — it depends on the accounting reference period and the company's circumstances — so the first step is usually to establish exactly which period or periods remain outstanding.

Yes. An overdue filing does not remove the obligation; the accounts generally still need to be prepared and delivered to Companies House where required. Filing late can lead to a late-filing penalty, and Companies House can impose penalties under its own rules. Where a company is dormant or has not traded during the period, accounts may still be required, so it is worth checking the position rather than assuming nothing needs to be filed.

It can. Dormancy and overdue filing are separate matters. A company may be dormant for a particular period and still have an annual accounts filing obligation, and if the required accounts were not delivered by the applicable deadline, that period is overdue. The fact that the company was not trading does not automatically bring the filing requirement to an end.

Where a penalty appeal is being considered, eligibility depends on the circumstances and the applicable Companies House rules.

Where a company has more than one outstanding accounting period, each period may need to be prepared and delivered separately. Completing one set of accounts does not automatically resolve the others. In practice it usually makes sense to review all outstanding periods together so that the order of filing, the reporting framework for each period and any related HMRC matters can be considered properly.

Some companies may qualify for the micro-entity reporting framework, which uses the FRS 105 standard, but not every company does and not every small company qualifies. Eligibility depends on factors such as the company's size, legal structure, accounting period and the applicable requirements. Where an overdue period is being brought up to date, we review those factors before confirming which framework should be used.

Yes. Statutory accounts are filed with Companies House where required, while a CT600 Corporation Tax Return is submitted to HMRC where applicable. A confirmation statement is a separate Companies House filing again. Filing overdue accounts does not, by itself, settle any outstanding Corporation Tax obligations or replace a confirmation statement, so it is worth checking the full compliance position rather than dealing with one item in isolation.
