Overdue company accounts are annual accounts that should have been delivered to Companies House by the applicable statutory deadline but have not yet been filed. The accounts do not stop being required simply because the deadline has gone by. Until they are prepared and filed, they remain outstanding on the company's Companies House record, and directors should consider addressing them promptly.

The reasons vary. Some directors are unsure of the filing date attached to the accounting reference period, some are waiting on bookkeeping or bank records, and others have stopped trading or stepped back from the company without realising that the filing obligation continues. In other cases a change in accountant or a gap in record keeping causes the accounts to fall behind. The cause does not change the obligation, but it does affect what information will be needed to bring the filings up to date.

In most cases, yes. A company that has not traded may still have to file accounts, and where the company is dormant there are usually still Companies House filing obligations to meet. Dormancy and overdue filing are separate issues: a dormant company can have overdue accounts if it did not file what was required by the applicable deadline. Whether the accounts are prepared as dormant accounts or under another framework depends on the company's circumstances.

Companies House can impose a late-filing penalty where accounts are delivered after the applicable deadline, and the penalty position depends on the circumstances of the filing. The penalty and the filing of the accounts are separate matters. Paying a penalty does not remove the requirement to prepare and deliver the outstanding accounts, and an accountant cannot automatically reduce, cancel or appeal a penalty — eligibility for any appeal depends on the circumstances and the applicable Companies House rules.

Where more than one accounting period has passed its filing deadline, several sets of accounts may need to be prepared and delivered, and each period is generally addressed on its own terms. Filing one set of accounts does not automatically clear the others. We can review the periods concerned and work through them in a sensible order, confirming what information is required for each one.

Some companies may qualify for the micro-entity framework and FRS 105, the financial reporting standard that applies to qualifying entities using that framework, but qualification depends on the company's legal structure, accounting period and eligibility criteria. Not every small company qualifies, and accounts that are overdue are not automatically micro-entity accounts. The appropriate reporting framework needs to be confirmed before the accounts are prepared.

A company that has received a warning from Companies House may still be able to file the outstanding accounts, but the position needs care. Companies House can take action against companies that do not meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off. Filing accounts does not guarantee that strike-off action will be halted or reversed. If a strike-off notice has already been issued, or the company has been dissolved, the matter may require separate legal or restoration advice rather than being treated as an ordinary overdue filing.

Yes. Statutory accounts are filed with Companies House where required, while a Corporation Tax Return such as a CT600 is submitted to HMRC where applicable, and a confirmation statement is a separate Companies House filing again. Delivering overdue accounts does not automatically satisfy HMRC Corporation Tax obligations or replace a confirmation statement. A company may need to deal with each of these matters separately, and we can confirm which filings apply to your circumstances.
