What Overdue Company Accounts Mean for Your Limited Company

Company accounts become overdue when the applicable statutory deadline for delivering them to Companies House has passed and the required accounts still have not been filed. Filing deadlines are not identical for every company, because they depend on factors such as the company’s accounting reference period and whether it is filing for the first time, so the practical first step is usually to check the company’s Companies House record and confirm which periods remain outstanding. Leaving accounts overdue does not remove the obligation to deal with them, and the longer the position continues, the more significant the consequences may become, including late-filing penalties that Companies House can impose and, in cases of persistent non-compliance, an increased risk of further action. Dormant or non-trading companies are not automatically exempt, since a dormant company can still have annual accounts and confirmation statement obligations, and dormancy is a separate matter from whether a filing deadline has been missed. The form of accounts that was originally due also matters: some companies may have been required to prepare micro-entity accounts, small-company accounts or another applicable form of statutory accounts, depending on their size, legal structure and reporting framework, and eligibility for a particular framework should be confirmed before preparation begins. Company accounts are overdue when the applicable statutory filing deadline has passed and the required accounts have not yet been delivered to Companies House. The deadline is not the same for every company, as it depends on factors such as the company's accounting reference period and whether it is filing for the first time, so it is worth checking the company's Companies House record to confirm which periods remain outstanding. Once a deadline has passed, the accounts are treated as late until the required documents are filed.

In most cases, yes. A limited company that has not traded, or that has been dormant, can still have Companies House filing obligations, and dormant status does not automatically remove the requirement to deliver annual accounts. Whether a particular company has to file, and on what basis, depends on its circumstances, but not trading does not mean outstanding accounts can simply be left unaddressed.

Companies House can impose late-filing penalties where accounts are delivered after the applicable deadline. The penalty that may apply depends on how late the accounts are and on the company's circumstances, and any penalty is separate from the requirement to file the outstanding accounts. Paying a penalty does not remove the obligation to prepare and deliver those accounts. Where a penalty has been issued, eligibility for an appeal depends on the circumstances and the applicable Companies House rules, and we can review your position with you.

Where a company has multiple outstanding accounting periods, each period generally needs to be prepared and filed separately, even though the work can be planned and progressed as one exercise. Filing a single set of accounts does not automatically clear the other outstanding periods. We can review the company's filing history, establish which periods remain outstanding and help prepare the accounts for each period in turn.

A warning letter or strike-off notice is a more serious position than an ordinary late filing and may need to be handled as a separate matter alongside the accounts. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. Filing overdue accounts does not guarantee that such action will be stopped or reversed. If a company has already been dissolved, restoration is a distinct process and may require separate legal advice.

It varies from company to company. We would typically need bookkeeping records, bank statements, invoices, expense records, details of assets and liabilities, company registration details and, where available, previous accounts. If your records are incomplete, we can discuss what can reasonably be reconstructed for the period in question. The information required depends on the accounting period being prepared and on the company's individual circumstances.

Some companies may qualify for the micro-entity framework, but not every company does. Whether micro-entity accounts, small-company accounts or another form of statutory accounts are appropriate depends on the company's legal structure, size, accounting period and reporting framework. FRS 105 is the financial reporting standard that applies to qualifying entities using the micro-entity accounting framework. We confirm eligibility before preparing accounts on the correct basis.

No. Statutory accounts are delivered to Companies House where required, while Corporation Tax Returns such as the CT600 are submitted to HMRC where applicable, and a confirmation statement is filed with Companies House separately from the annual accounts. Filing overdue accounts does not automatically satisfy those other obligations, so a company may still need to deal with its confirmation statement and any Corporation Tax matters.
