Company accounts are overdue when the filing deadline for that accounting period has passed and the required accounts have not been delivered to Companies House. The deadline is not the same for every company — it depends on the company's accounting reference period and its circumstances. Being overdue does not change the underlying obligation: the accounts still need to be prepared and filed where required. It is also separate from trading activity, so a company that has been quiet, or even dormant, can still have overdue accounts.

Possibly, yes. Dormancy and overdue filing are separate issues, and a dormant company can still have Companies House filing obligations. Depending on the circumstances, the company may need dormant accounts or full statutory accounts for the relevant period, and the appropriate form depends on its position and eligibility. It is worth checking what was actually delivered for each period rather than assuming no filing was required.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. The level of any penalty depends on how late the filing is and on the company's circumstances, and penalties are not the same in every case. Paying a penalty does not remove the requirement to file the outstanding accounts — the two are separate matters. Where a penalty has already been issued, whether an appeal is available depends on the circumstances and the applicable Companies House rules.

They can often be worked through as one project, but each outstanding accounting period generally needs its own set of accounts prepared and delivered. Filing one period does not automatically resolve the others. We can review the company's filing history, identify which periods remain outstanding, and prepare them in order. How the work is approached will depend on the number of periods involved and the records available for each one.

In many cases accounts can still be delivered, but a warning or strike-off notice points to a more serious compliance position that may need prompt attention. Companies House may take action against companies that fail to meet their filing obligations, and persistent non-compliance can increase the risk of compulsory strike-off action. We cannot guarantee that filing will prevent or reverse strike-off action. If the company has already been dissolved, that situation generally requires restoration or separate legal advice rather than a routine overdue accounts filing.

Potentially, but only where the company qualifies for the micro-entity framework for the relevant accounting period. Not every small company qualifies, and the reporting framework depends on the company's legal structure, accounting period, size and other eligibility factors. FRS 105 is the financial reporting standard that applies to qualifying entities using the micro-entity accounting framework. If the company does not qualify, small-company accounts or another applicable form of statutory accounts may be required instead, and we can confirm which applies.

They are separate compliance matters. Statutory accounts are filed with Companies House where required, while Corporation Tax Returns such as CT600 are submitted to HMRC where applicable. Delivering overdue accounts to Companies House does not automatically satisfy HMRC Corporation Tax obligations, and a confirmation statement is a further, separate Companies House filing. Where more than one of these is outstanding, each needs to be addressed on its own terms, and we can review the wider position to identify what remains to be done.

Typically bookkeeping records, bank statements, invoices, expense records, details of assets and liabilities, copies of previous accounts and current company information. The exact information required depends on the accounting period being prepared and the company's circumstances — a dormant period will need considerably less than a period of active trading.
