The obligation to prepare and file them does not go away simply because the date has passed. The company remains responsible for bringing the filing up to date, so the practical priority is usually to establish exactly which periods are outstanding and what information is needed to prepare them.

There is no single reason. Directors often tell us the bookkeeping fell behind, the previous accountant stopped responding, the company had a quiet or dormant period and filing was overlooked, or there was a change in ownership or directors around the year end. In some cases the director was simply unaware that the deadline had passed. The cause does not change the position, but understanding it does help when working out what records are available and how quickly each outstanding period can be prepared.

In many cases, yes. Dormancy and overdue filing are separate issues: a dormant company can still have an annual accounts filing obligation and can therefore have overdue accounts if the required accounts were not delivered by the applicable deadline. Whether a company qualifies for any exemption or simplification depends on its circumstances, and dormant status should not be assumed to remove the filing requirement altogether.

Companies House can impose a late-filing penalty when accounts are delivered after the applicable deadline. A company that should have filed small-company accounts or another form of statutory accounts cannot simply switch to the micro-entity framework because the filing is late.
