There are many reasons: records may be incomplete, a director may have assumed nothing was due because the company was quiet, a change of accountant may have interrupted the process, or correspondence from Companies House may have been missed. None of these change the underlying filing obligation. Once the deadline has passed, the accounts still need to be prepared and delivered, and the sooner that is done the more straightforward the position usually becomes.

In many cases, yes. Dormancy and overdue filing are separate issues, and a dormant company can have accounts that are overdue because the required accounts were not delivered by the applicable deadline. A dormant company may have limited or no transactions, but that does not automatically remove its Companies House filing obligations.
